(“Penjual”) kepada PT Nextier Datamate Center
(“Pembeli”). /

On February 10, 2026, the Company was informed by
its principal shareholder, PT Trijaya Wisesa Makmur,
that on February 9, 2026 a change of control of the
Company has occurred due to the transfer of
1,499,999,500 shares of the Company or eguivalent to
78.7446 of the issued and paid-up capital of the
Company by PT Trijaya Wisesa Makmur (the “Seller”
to PT Nextier Datamate Center (the “Purchaser).

Terhitung sejak tanggal 9 Februari 2026, Pembeli telah
efektif menjadi pengendali baru pada Perseroan.
Pembeli merupakan perseroan terbatas yang didirikan
berdasarkan hukum Republik Indonesia yang
berdomisili di Gedung Pacific Century Place Lantai 38,
SCBD Lot 10, Jl. Jenderal Sudirman Kav. 52-53,
Jakarta 12190. Pengendali baru bergerak dalam
bidang penyediaan fasilitas pusat data (data center)
berbasis informasi teknologi (IT), termasuk konsultansi
manajemen strategis. Pembeli selaku pengendali baru
Perseroan tidak memiliki hubungan afiliasi dengan
Penjual selaku pengendali lama. /

Starting from 9 February 2026, the Purchaser is

established pursuant to the laws of the Republic of
Indonesia, domiciled at Gedung Pacific Century Place

the information technology (IT) based data center
facilities provider, including strategic: management
consultation. The Purchaser as the new controller of
the Company is not affiliated with the Seller as the
previous controller.
