an & W antam “ Framework Agreement bersama PT IBI dan HYD pada tanggal 30 Januari 2026 (“Tanggal Penandatanganan”). Penandatangan Framework Agreement ini sehubungan dengan rencana pengembangan hilirisasi nikel dalam rangka inisiatif pengembangan ekosistem baterai terintegrasi di Indonesia. Framework Agreement tersebut mengatur ketentuan-ketentuan utama kerja sama Para Pihak, termasuk namun tidak terbatas pada ruang lingkup pengembangan proyek hilirisasi nikel yang terintegrasi dari hulu ke hilir, prinsip tata kelola kerja sama, tahapan pengembangan proyek, serta kerangka pengaturan teknis dan finansial yang akan dikaji lebih lanjut melalui studi kelayakan bersama (joint feasibility study). Framework Agreement merupakan kerangka awal, dan pelaksanaan kerja sama selanjutnya akan tunduk pada pemenuhan kondisi prasyarat pendahuluan, serta perundingan dan penandatanganan perjanjian-perjanjian definitif. Framework Agreement belum berlaku efektif pada Tanggal Penandatanganan, dan baru berlaku efektif setelah dipenuhinya seluruh kondisi prasyarat Agreement with PT IBI and HYD on January 30, 2026 (“Signing Date”). The signing of this Framework Agreement is in connection with the proposed nickel downstream development as part of the integrated battery ecosystem development in Indonesia. The Framework Agreement sets out the principal terms of cooperation among the Parties, including but not limited to the scope of an integrated nickel downstream development project from upstream to downstream, cooperation principles, project development phases, as well as the technicaland financial framework to be further assessed through a joint feasibility study.
