6. Keterangan Lain/ Transaksi ini merupakan syarat pemberian fasilitas PT Bank Central
Other Information Asia Tbk kepada PT Wintermar senilai USD 26.200.000 (dua puluh
enam juta dua ratus ribu Dollar Amerika Serikat). Nilai Jaminan
Perusahaan yang diberikan adalah untuk menjamin fasilitas yang
diterima PT Wintermar dari PT Bank Central Asia Tbk tersebut.
Pemberian Jaminan Perusahaan oleh Perseroan ini sejalan dengan
proyeksi Perseroan akan pertumbuhan permintaan terhadap Offshore
Support Vessels (OSV), di mana fasilitas ini menyediakan dana
cadangan untuk mendukung rencana ekspansi armada Perseroan.
Berdasarkan Pasal 6 Ayat (1) huruf e POJK 42/2020, atas transaksi
pemberian jaminan kepada Bank, tidak diperlukan prosedur serta
tidak wajib menggunakan penilaian Kantor Jasa Penilai Publik.
Transaksi ini tidak mengandung benturan kepentingan dan semua
informasi material telah diungkapkan dalam laporan ini, serta
informasi tersebut tidak menyesatkan.
This transaction constitutes a requirement for the provision of a credit
facility by PT Bank Central Asia Tbk to PT Wintermar in the amount of
USD 26,200,000 (twenty-six million two hundred thousand United
States Dollars). The value of the Corporate Guarantee provided is
intended to secure the credit facility granted by PT Bank Central Asia
Tbk to PT Wintermar.

The provision of the Corporate Guarantee by the Company is aligned
with the Company’s projections regarding the growth in demand for
Offshore Support Vessels (OSV), whereby the facility provides standby
funds to support the Company’s fleet expansion plan.
Pursuant to Article 6 paragraph (1) letter e of Regulation of the Financial
Services Authority (POJK) No. 42/2020, transactions involving the
provision of corporate guarantees to financial institutes is exempted
from procedures of mandatory appraisal by a public appraisal services
office.
This transaction does not involve any conflict of interest and all
material information has been disclosed in this report, and such
information is not misleading.
