                                              The Establishment of Subsidiary by the Company's

 Description of Material Information or       On 26 January 2026, the Company's subsidiaries, namely PT
 Facts                                        Energi Makmur Buana ("EMB") and PT Invi Mining Unggulan
                                              Nusantara ("IMUN"), established a new subsidiary, PT Bima
                                              Invi Sinergi Alami ("BISA"), domiciled at Graha Mitra, Lantai
                                              10, Jl. Jend. Gatot Subroto Kav. 21, Jakarta Selatan 12930.
                                              Such establishment was set out in Deed of Establishment No.
                                              22 dated 26 January 2026, made before Ungke Mulawanti,
                                              S.H., M.Kn., Notary in East Jakarta, and has obtained approval
                                              from the Ministry of Law of the Republic of Indonesia No.AHU-
                                              0006670.AH. 01.01.TAHUN 2026 dated 26 January 2026.

                                              BISA will carry out business activities, among others, in the
                                              field of Other Supporting Activities for Mining and Quarrying,
                                              Rental and Leasing Without Option Rights of Cars, Buses,
                                              Trucks, and Similar Vehicles, and Rental of Construction
                                              Equipment with Operators.

                                              EMB and IMUN are subsidiaries of the Company in which
                                              more than 99% of their shares are indirectly owned by the
                                              Company.

                                              Details of the shareholding structure of BISA are as follows:
