Uraian Informasi atau Fakta Material Perseroan berencana untuk melakukan PMHMETD II dalam
jumlah sebanyak-banyaknya 50.000.000.000 (lima puluh
miliar) saham baru atau sebesar maksimum 203,11% (dua
ratus tiga koma satu satu persen) dari jumlah seluruh saham
yang ditempatkan dan disetor penuh dalam Perseroan pada
tanggal Keterbukaan Informasi ini diterbitkan, yang akan
diterbitkan dari saham portepel Perseroan dengan nilai
nominal Rp 50 (lima puluh Rupiah) per saham.
Dampak kejadian, informasi atau fakta PMHMETD II dilakukan untuk memperkuat struktur
material tersebut terhadap kegiatan permodalan Perseroan sehingga memberikan Perseroan
operasional, hukum, kondisi keuangan, tambahan dana untuk mendukung kinerja Perseroan. Apabila
atau kelangsungan usaha Emiten atau pemegang saham Perseroan tidak melaksanakan hak
Perusahaan Publik memesan efek terlebih dahulu yang dimiliki olehnya dalam
PMHMETD II, maka kepemilikan pemegang saham Perseroan
tersebut akan terkena dilusi dengan persentase maksimum
sebesar 67,01% (enam puluh tujuh koma nol satu persen) dari
jumlah kepemilikan sahamnya di Perseroan.

Type of Material Information or Facts Uluwatu Villa Tbk in Relation to The Proposed Capital Increase
with Pre-Emptive Rights II
Description of Material Information or The Company plans to conduct a Rights Issue II of up to
Facts 50,000,000.000 (fifty billion) new shares or up to 203.11% (two
hundred and three point one one percent) of the total issued
and fully paidup shares by the Company as of the date of this
Disclosure Information is published, which will be issued from
the Companys portfolio shares with a nominal value of IDR 50
(fifty Rupiah) per share.
Impact of event, material information or The Rights Issue II is carried out by the Company to
facts towards Issuers or Public strengthen its capital structure, providing additional funds to
Company’s operational activities, legal, support the Company's performance. If the Company's
financial condition, or going concern shareholders do not exercise their pre-emptive rights in the
Capital Increase, their shareholding in the Company will be
diluted by a maximum percentage of 67.01% (sixty seven point
zero one percent) of their total share ownership in the
Company.
