Uraian Informasi atau Fakta Material Pada tanggal 12 Januari 2026, anak perusahaan Perseroan,
yaitu PT Energi Makmur Buana ("EMB") dan PT Mitra Motor
Group ("MMG"), telah mendirikan suatu anak usaha baru yaitu
PT INVI Manufaktur Andalan Indonesia ("IMAI"),
berkedudukan di Jakarta. Pendirian tersebut dituangkan dalam
Akta Pendirian No. 08 tanggal 12 Januari 2026 yang dibuat
oleh Ungke Mulawanti, S.H., M.Kn., Notaris di Jakarta Timur,
dan telah mendapat pengesahan dari Kementerian Hukum
Republik Indonesia No. AHU-0005218.AH.01.11 tanggal 13
Januari 2026.
IMAI akan melakukan kegiatan usaha, antara lain (i) Industri
Kendaraan Bermotor Roda Empat atau Lebih (KBLI 29101);
dan (ii) Industri Karoseri Kendaraan Bermotor Roda Empat
atau Lebih; Industri Trailer dan Semitrailer (KBLI 29200).
EMB dan MMG merupakan anak perusahaan Perseroan yang
lebih dari 99% sahamnya dimiliki secara tidak langsung oleh
Perseroan.
Keterangan mengenai struktur kepemilikan modal IMAI adalah
sebagai berikut:

The Establishment of Subsidiary by the Company's
Type of Material Information or Facts subsidiaries
Description of Material Information or On 12 January 2026, the Company's subsidiaries, namely PT
Facts Energi Makmur Buana ("EMB") and PT Mitra Motor Group
("MMG"), established a new subsidiary, PT INVI Manufaktur
Andalan Indonesia ("IMAI"), domiciled at Jakarta. Such
establishment was set out in Deed of Establishment No. 08
dated 12 January 2026, made before Ungke Mulawanti, S.H.,
M.Kn., Notary in East Jakarta, and has obtained approval from
the Ministry of Law of the Republic of Indonesia No. AHU-
0005218.AH.01.11 dated 13 January 2026.
IMAI will carry out business activities, among others, in (i)
Four-Wheeled or More Motor Vehicle Industry (KBLI 29101);
and (ii) Four-Wheeled or More Motor Vehicle Body
Manufacturing Industry; Trailer and Semi-Trailer Industry (KBLI
29200).
EMB and MMG are subsidiaries of the Company in which
more than 99% of their shares are indirectly owned by the
Company.

Impact of event, material information or After the establishment of the company subsidiary, the
facts towards Issuers or Public Company will have a new legal entity which the Company's
