bahwa pelaksanaan transaksi pengalihan kepemilikan saham
telah dilakukan dengan penandatanganan Perjanjian
Pengalihan Saham Milik Negara Republik Indonesia Berupa
Saham Seri B Pada BUMN Kepada Badan Pengaturan Badan
Usaha Milik Negara Nomor PERJ-1/BPU/01/2026 dan Nomor
LGL1.001/PERJ/DI-DAM.DO/2026 tanggal 5 Januari 2026
antara Kepala BP BUMN dan DAM, dimana DAM telah
menyerahkan saham PT Waskita Karya (Persero) Tbk (WSKT)
kepada BP BUMN dengan demikian BP BUMN memiliki
saham sebesar 1% (satu persen) dari jumlah kepemilikan
Negara melalui BP BUMN dan DAM dalam WSKT.
Dampak kejadian, informasi atau fakta Kepemilikan Langsung oleh Negara Republik Indonesia
material tersebut terhadap kegiatan melalui 217.056.333 (dua ratus tujuh belas juta lima puluh
operasional, hukum, kondisi keuangan, enam ribu tiga ratus tiga puluh tiga) lembar Saham Seri A
atau kelangsungan usaha Emiten atau Dwiwarna dengan hak istimewa melalui Kepala BP BUMN dan
Perusahaan Publik kepemilikan tidak langsung melalui 21.488.577.028 (dua puluh
satu miliar empat ratus delapan puluh delapan juta lima ratus
tujuh puluh tujuh ribu dua puluh delapan) lembar Saham Seri
B milik DAM yang terkonsolidasi pada Badan Pengelola
Investasi Daya Anagata Nusantara. Negara Republik
Indonesia melalui kepemilikan langsung saham Seri A
Dwiwarna WSKT dan tetap merupakan Pemilik Manfaat Akhir
(ultimate beneficial owner) dari WSKT melalui kepemilikan
secara tidak langsung melalui DAM.

2026 concerning the Notification of the Signing of the Share
Transfer Agreement of PT Waskita Karya (Persero) Tbk; and

SR.007/DI-DAM/DO/2026 dated 6 January 2026 concerning
the Notification of the Signing of the Share Transfer
Agreement of PT Waskita Karya (Persero) Tbk,
3. Financial Services Authority of the Republic of Indonesia
Regulation Number 4 of 2024 concerning the Reporting of
Share Ownership or Any Changes in Share Ownership of
Public Companies and the Reporting of Share Pledging
Activities of Public Companies.
4. Circular Letter of the Financial Services Authority of the
Republic of Indonesia Number 10/SEOJK.04/2025 concerning
the Electronic Submission of Reports on Share Ownership or
Any Changes in Share Ownership of Public Companies and
Reports on Share Pledging Activities of Public Companies.
it is hereby stated that the implementation of the share
ownership transfer transaction has been carried out through
the signing of the Share Transfer Agreement of the
StateOwned Shares of the Republic of Indonesia in the form of
Series B Shares in State-Owned Enterprises to the
StateOwned Enterprises Regulatory Agency, namely
Agreement No. PERJ-1/BPU/01/2026 and No.
LGL1.001/PERJ/DIDAM.DO/2026 dated 5 January 2026,
between the Head of BP BUMN and DAM, whereby DAM has
transferred the shares of
PT Waskita Karya (Persero) Tbk (WSKT) to BP BUMN.
Accordingly, BP BUMN holds 1% (one percent) of the States
total shareholding in WSKT through BP BUMN and DAM.
Impact of event, material information or Direct ownership by the Republic of Indonesia through
facts towards Issuers or Public 217,056,333 (two hundred seventeen million fifty-six thousand
Company’s operational activities, legal, three hundred thirty-three) Series A Dwiwarna Shares with
financial condition, or going concern special rights held through the Head of BP BUMN, and indirect
ownership through 21,488,577,028 (twenty-one billion four
hundred eighty-eight million five hundred seventy-seven
thousand twenty-eight) Series B Shares owned by DAM, which
are consolidated under the Daya Anagata Nusantara
Investment Management Agency. The Republic of Indonesia,
through its direct ownership of WSKT Series A Dwiwarna
Shares, remains the Ultimate Beneficial Owner of WSKT
through its indirect ownership via DAM.
