Menanggapi surat Bursa Efek Indonesia

terkait permintaan — klarifikasi — atas
pemberitaan mengenai rencana akuisisi
PT Bumi Resources Tbk ("Perseroan"
atau "BUMI") terhadap Loyal Metals
Limited perusahaan pertambangan yang
tercatat di Australian — Securities
Exchange (ASX), dengan ini Perseroan
menyampaikan — penjelasan — sebagai
berikut:

Perseroan telah menandatangani Scheme
Implementation Deed (SID) dengan
Loyal Metals Limited, yang merupakan
perjanjian awal sebagai kerangka dasar
untuk memulai proses akuisisi. Sampai
dengan saat ini, proses akuisisi masih
berada — pada — tahap — pemenuhan
persyaratan sehingga belum terjadi
pengalihan dana maupun saham.

Adapun penyelesaian transaksi ini masih
bergantung pada terpenuhinya sejumlah
persyaratan pendahuluan (conditions
precedent), antara lain persetujuan dari
pemegang saham Loyal Metals dan
pemenuhan proses dan ketentuan hukum
yang berlaku di Australia.

Persyaratan umum lainnya adalah jika,
selama persyaratan-persyaratan tersebut
belum seluruhnya terpenuhi, — maka
akuisisi — belum dapat
dinyatakan selesai — dan belum
menimbulkan akibat hukum apapun atas
perpindahan kepemilikan saham Loyal
Metals kepada Perseroan.

Explanation:
In response to the IDX letter reguesting

clarification over a news story on PT Bumi
Resources Tbk's (“the Company” or
“BUMI”) planned acguisition of Loyal
Metals Limited, a mining company listed
on the Australian Securities Exchange
(ASX), the Company hereby provides tlie
Jollowing explanation:

The Company has signed a Scheme of
Implementation Deed (SID) with Loyal
Metals Limited, which constitutes a
preliminary agreement serving as the basic
framework for initiating the planned
acguisition — process. To date, — the
acguisition is still at the stage of fulfilling
conditions precedent, hence, no transfer of
funds or shares has occurred.

The completion of this transaction remains
subject to the fulfilment of a number of
conditions precedent, including, among
others approval from Loyal Metals'
shareholders and compliance — with
applicable laws and procedures in
Australia.

Another general condition is that, until all
these conditions precedent have not been
fully met, the acguisition transaction
cannot be deemed complete and will not
give rise to any legal conseguences
regarding the transfer of Loyal Metals'
shares to the Company.

Perseroan menjelaskan bahwa:

a. Rencana akuisisi ini masih bersifat
kondisional — dan — tunduk — pada
pemenuhan seluruh persyaratan yang
berlaku.

b. Belum terdapat transaksi — yang
mengikat — secara — final — terkait
perpindahan kepemilikan saham Loyal
Metals kepada Perseroan.

c. Seluruh proses akan dilaksanakan
sesuai dengan peraturan perundang-
undangan yang berlaku, baik di
Indonesia maupun di Australia.

Informasi/ kejadian penting lainnya yang
material dan dapat mempengaruhi
kelangsungan hidup perusahaan serta
dapat mempengaruhi harga saham
Perusahaan.

Penjelasan:
Perseroan menyatakan bahwa sampai dengan

tanggal surat ini, tidak terdapat informasi atau
kejadian penting lainnya yang bersifat
material di luar yang telah diungkapkan di
atas, yang dapat mempengaruhi kelangsungan
operasional Perseroan maupun harga saham
Perseroan yang belum disampaikan kepada
publik.

Perseroan berkomitmen untuk menyampaikan
keterbukaan — informasi — sesuai — dengan
ketentuan yang berlaku apabila terdapat
perkembangan material dari proses ini.

b. Clarification over the acguisition plan
of Loyal Metals in Australia.

Explanation:

The Company explains that:

a. This planned acguisition is still
conditional and subject to the
fulfilment — of all applicable
reguirements.

b. No final, binding transaction has
occurred in respect of the transfer of
share ownership of Loyal Metals to
the Company.

c. The entire process will be carried out
in accordance with applicable laws
and tegulations, both in Indonesia
and in Australia.

2. Any other significant
information/ events which are material
and may affect the business continuity
and the stock price of the Company.

Explanation:
The Company confirms that, as of the date of

this letter, there is no other material
information or significant event— other
than those disclosed above — that could affect
the Company's operational continuity or the
price of the Company's shares, that has not
yet been disclosed to the public.

The Company is committed to making all
reguired disclosures in accordance with
applicable regulations should there be any
material developments in this process.
