The Company made and signed a Logistics Services Agreement with PT Karya Nusa Logistika (“KNL”) related to the provision of warehousing services and handling of the Company's products. 3 Nilai Transaksi Nilai transaksi adalah sebesar Rp.3.570.764.938,- (tiga milyar lima ratus tujuh puluh juta tujuh ratus enam puluh empat ribu sembilan ratus tiga puluh delapan Rupiah). Dengan demikian, nilai transaksi tersebut masih berada dibawah batas yang ditentukan dalam Pasal & ayat (1) huruf c POJK 42/2020, sehingga Perseroan tidak wajib melakukan prosedur sebagaimana dimaksud dalam Pasal 3 POJK 42/2020 serta tidak wajib memenuhi 462 21 5088 9838

The transaction value is IDR 3,570,764,938 (three billion five hundred seventy million seven hundred sixty-four thousand nine hundred and thirty-eight Rupiah). Therefore, the transaction value is still below the limit specified in Article 6 paragraph (1) letter c of POJK 42/2020, so the Company is not reguired to carry out the procedures as referred to in Article 3 POJK 42/2020 and is not reguired to comply with the provisions as referred to in Article 4 paragraph (1) POJK 42/2020. Transaksi Parties Transactions 4 Pihak yang Melakukan Conducting Perseroan selaku penerima layanan jasa dan KNL selaku pemberi layanan jasa. The Company as the recipient of services and KNL as the service provider. 5 Sifat Hubungan Afiliasi Perseroan dan KNL merupakan pihak terafiliasi sebagaimana dimaksud dalam Pasal 1 ayat (1) huruf e POJK 42/2020 dikarenakan baik Perseroan dan KNL dikendalikan (secara tidak langsung) oleh pihak yang sama, yaitu FKS Food And Agri Pte Ltd. Other Information Nature of Affiliate | The Company and KNL are d@ffiliated parties as referred to in Article 1 Relationships paragraph (1) letter e POJK 42/2020 because both the Company and KNL are controlled (indirectly) by the same party, FKS Food And Agri Pte Ltd. 6 Keterangan Lainnya Transaksi Afiliasi ini tidak mengandung benturan kepentingan dan semua informasi material mengenai Transaksi Afiliasi telah diungkapkan dalam Keterbukaan Informasi ini dan informasi tersebut tidak menyesatkan. This Affiliated Transaction does not contain any conflict of interest and all material information regarding the Affiliated Transaction has been disclosed in this Information Disclosure and such information is not misleading.
