Bersama ini menyampaikan Laporan Perubahan Kepemilikan Saham dan Laporan Informasi atau Fakta Material dengan penjelasan sebagai berikut: 1. Berdasarkan Surat Kepala Badan Pengaturan Badan Usaha Milik Negara Republik Indonesia (“BP BUMN”) No. S-18/BPU/01/2026 tanggal 6 Januari 2026 dan Surat PT Danantara Asset Management (Persero) (“DAM”) No. SR.005/DI-DAM/DO/2026 tanggal 6 Januari 2026, yang keduanya ditujukan kepada Perseroan, BP BUMN dan DAM pada pokoknya menyampaikan bahwa pada tanggal 5 Januari 2026 telah dilaksanakan penandatanganan perjanjian pengalihan sebagian saham seri B milik DAM pada Perseroan kepada BP BUMN. 2. Selanjutnya, BP BUMN dan DAM menyampaikan permintaan kepada Perseroan untuk melakukan pelaporan atas perubahan kepemilikan saham tersebut kepada Otoritas Jasa Keuangan dan Bursa Efek Indonesia dalam rangka pemenuhan POJK 4/2024 serta laporan lainnya yang diperlukan sesuai ketentuan yang berlaku. / f PT. Klasifikasi saham Saham Seri B dengan Nilai Nominal Rp3,750,- (tiga ribu tujuh ratus lima puluh rupiah) per lembar saham. Harga pembelian atau penjualan per saham Harga saham ditentukan berdasarkan nilai buku sebesar Rp839.189.538.750,00 (delapan ratus tiga puluh sembilan miliar seratus delapan puluh sembilan juta lima ratus tiga puluh delapan ribu tujuh ratus lima puluh rupiah) yang mana menggunakan nilai sementara dan akan ditetapkan kemudian secara definitif berdasarkan Keputusan Kepala BP BUMN. Melalui transaksi pengalihan kepemilikan saham berdasarkan Perjanjian Pengalihan Saham Milik Negara Republik Indonesia Berupa Saham Seri B Pada BUMN Kepada Badan Pengaturan Badan Usaha Milik Negara Nomor PERJ- 1/BPU/01/2026 dan Nomor LGL1.001/PERJ/DI- DAM.DO/2026 tanggal 5 Januari 2026 antara Kepala BP BUMN dan DAM. Tujuan dari transaksi Transaksi pengalihan kepemilikan saham BBNI milik DAM kepada BP BUMN dilaksanakan dalam rangka pemenuhan ketentuan Undang-Undang Nomor 16 Tahun 2025 yang mengatur kepemilikan saham Negara melalui Kepala BP BUMN sebesar 1 Y6 (satu persen) pada BBNI. Status kepemilikan saham Kepemilikan langsung oleh Negara Republik Indonesia melalui Kepala BP BUMN sebanyak 1 (satu) lembar saham Seri A Dwiwarna dengan hak istimewa dan 223.783.877 (dua ratus dua puluh tiga juta tujuh ratus delapan puluh tiga ribu delapan ratus tujuh puluh tujuh) lembar saham Seri B milik BP BUMN dan kepemilikan tidak langsung Negara Republik Indonesia melalui DAM sebanyak 210.228.922 (dua ratus sepuluh juta dua ratus dua puluh delapan ribu sembilan ratus dua puluh dua) lembar saham seri B dan 21.944.374.950 (dua puluh satu miliar sembilan ratus empat puluh empat juta tiga ratus tujuh puluh empat ribu sembilan ratus lima puluh) lembar saham seri C yang terkonsolidasi pada Badan Pengelola Investasi Daya Anagata Nusantara. 10. Keterangan pengendali Negara Republik Indonesia melalui kepemilikan langsung saham Seri A Dwiwarna BBNI dan tetap merupakan Pemilik Manfaat Akhir (ultimate beneficial owner) dari BBNI melalui kepemilikan secara tidak langsung melalui DAM. 1. Nama pemegang saham yang memberikan kuasa untuk melaporkan, jika laporan kepemilikan saham dikuasakan Pelaporan oleh BP BUMN dan DAM disampaikan melalui BBNI untuk mengumumkan serta melaporkan kepada Otoritas Jasa Keuangan bidang Pasar Modal dalam rangka memenuhi Peraturan Otoritas Jasa Keuangan No. 4 Tahun 2024. 4. Dampak terhadap kegiatan operasional, hukum, kondisi keuangan atau kelangsungan usaha: Pelaksanaan pengalihan saham tersebut merupakan pemenuhan UU No. 16 Tahun 2025 tentang Perubahan Keempat atas UU No. 19 Tahun 2003 tentang Badan Usaha Milik Negara. x€ BNI We hereby, for and on behaif of PT Bank Negara Indonesia (Persero) Tbk (the “Company'), for the purpose of compiying with: Financial Services Authority Regulation No. 4 of 2024 on Reports on Share Ownership or Any Changes in Share Ownership of Public Companies and Reports on Activities of Pledging Shares of Public Companies (“POJK 4/2024”): Financial Services Authority Regulation No. 31/POJK.04/2015 on Disclosure of Information or Material Facts by Issuers or Public Companies, as amended by Financial Services Authority Regulation No. 45 of 2024 on the Development and Strengthening of Issuers and Public Companies, Indonesia Stock Exchange Regulation No. I-£ Kep-00015/BEI/01-2021 on Information Disclosure Obligations: Financial Services Authority Regulation No. 37/POJK.03/2019 on Transparency and Publication of Bank Reports, and other relevant prevailing regulations. We hereby submit the Report on Changes in Share Ownership and the Report on Information or Material Facts, with the following explanations: 1. Based on the Letter of the Head of the State-Owned Enterprises Regulatory Agency of the Republic of Indonesia (“BP BUMN”) No. S-18/BPU/01/2026 dated 6 January 2026 and the Letter of PT Danantara Asset Management (Persero) (“DAM") No. SR.005/DI-DAM/DO/2026 dated 6 January 2026, both addressed to the Company, BP BUMN and DAM essentially conveyed that on 5 January 2026 a share transfer agreement had been executed for the transfer of a portion of DAM's Series B shares in the Company to BP BUMN. Furthermore, BP BUMN and DAM reguested the Company to submit a report on such change in share ownership to the Financial Services Authority and the Indonesia Stock Exchange, in order to comply with POJK 4/2024 and other reporting reguirements in accordance with the prevailing laws and regulations. Number of Shares Transferred A total of 223,783,877 (two hundred twenty-three million seven hundred eighty-three thousand eight hundred seventy-seven) Series B shares, representing 0.6046 (zero point six zero percent) of the total issued and fully paid shares of BBNI. Share Classification Series B shares with a par value of IDR 3,750 (three thousand seven hundred fifty Indonesian Rupiah) per share. Purchase or Sale Price per Share The share price was determined based on the book value amounting to IDR 839,189,538,750.00 (eight hundred thirty- nine billion one hundred eighty-nine million five hundred thirty- eight thousand seven hundred fifty Indonesian Rupiah), which constitutes a provisional value and shall be subseguently determined on a definitive basis pursuant to a decision of the Head of BP BUMN. Transaction Date 5 January 2026. The transaction was carried out through a share ownership transfertransaction pursuant to the Agreement on the Transfer of Shares of the Republic of Indonesia in the Form of Series B Shares in State-Owned Enterprises to the State-Owned Enterprises Regulatory Agency, bearing Agreement No. PERJ-1/BPU/01/2026 — and No. LGL1.001/PERJ/DI- DAM.DO/2026, dated 5 January 2026, entered into between the Head of BP BUMN and DAM. Purpose of the Transaction The transfer of ownership of BBNI shares from DAM to BP BUMN was carried out in order to comply with the provisions of Law Number 16 of 2025, which reguire the State, through the Head of BP BUMN, to hold a 196 (one percent) Shareholding in BBNI. 4
