Uraian Informasi atau : Entitas anak tidak langsung dari Perseroan (“Entitas Anak”) telah
Fakta Material menandatangani suatu Perjanjian Jual Beli Saham bersyarat pada

Material Information tidak langsung dalam salah satu lini usaha dari Entitas Anak tersebut
or Facts kepada calon pembeli yang merupakan Pihak Ketiga (“Perjanjian”).
Adapun penyelesaian transaksi jual beli berdasarkan Perjanjian
tersebut tunduk pada pemenuhan persyaratan sebagaimana diatur
dalam Perjanjian, sehingga transaksi pengalihan saham pada saat ini
belum berlaku efektif. /
Indirect subsidiaries of the Company (“Indirect Subsidiaries”) have
signed a conditional Sale and Purchase Agreement on August 3, 2026
to dispose of its indirect shareholding in one of the Indirect
Subsidiaries’s business lines to a prospective purchaser that is a Third
Party (“CSPA”).
Completion of the sale and purchase transaction contemplated under
the CSPA is subject to the satisfaction of the conditions precedent set
out therein. Accordingly, the share transfer has not yet become effective.
Tujuan Transaksi
Transaksi ini merupakan bagian dari strategi Perseroan untuk
mengoptimalkan aset, investasi, dan struktur pendanaan, memperkuat
posisi keuangan dan permodalan, serta mendukung pertumbuhan
usaha di masa depan./ This transaction forms part of the Company’s
strategy to optimize its assets, investments, and funding structure,
