Uraian Informasi atau Fakta Material NBR telah melakukan perubahan Pasal 3 Anggaran Dasar
mengenai Maksud dan Tujuan serta Kegiatan Usaha
berdasarkan Akta Pernyataan Keputusan Pemegang Saham
PT Niaga Batu Raya Nomor 300 tanggal 22 Juli 2026 yang
dibuat di hadapan Dr. Christina Dwi Utami, S.H., M.Hum.,
M.Kn., Notaris di Kota Administrasi Jakarta Barat, yang telah
disetujui oleh Menteri Hukum Republik Indonesia berdasarkan
Keputusan Nomor AHU-0064783.AH.01.02.TAHUN 2026
tanggal 30 Juli 2026.
Perubahan Anggaran Dasar tersebut dilakukan dalam rangka
penyesuaian Maksud dan Tujuan serta Kegiatan Usaha
Perseroan terhadap Klasifikasi Baku Lapangan Usaha
Indonesia (KBLI) 2025 serta penambahan kegiatan usaha
Perseroan.
Berdasarkan perubahan tersebut, kegiatan usaha NBR
meliputi antara lain:
Sebelum
- KBLI 46610 - Perdagangan Besar Bahan Bakar Padat, Cair
dan Gas serta Produk YBDI;
- KBLI 46620 - Perdagangan Besar Logam dan Bijih Logam.
Sesudah
- KBLI 46710 - Perdagangan Besar Bahan Bakar Padat, Cair
dan Gas beserta Produk Terkait;
- KBLI 46751 - Perdagangan Besar Bahan dan Barang Kimia;
- KBLI 46753 - Perdagangan Besar Bahan Berbahaya (B2).
Pada saat perubahan Anggaran Dasar tersebut dilakukan,
NBR belum menjalankan kegiatan usaha operasional. Oleh
karena itu, penambahan kegiatan usaha tersebut merupakan
penyediaan dasar hukum bagi Perseroan untuk dapat
menjalankan kegiatan usaha sebagaimana tercantum dalam
Anggaran Dasar pada masa mendatang setelah memenuhi
seluruh persyaratan dan memperoleh perizinan sesuai
ketentuan peraturan perundang-undangan yang berlaku.
Dampak kejadian, informasi atau fakta -
material tersebut terhadap kegiatan
operasional, hukum, kondisi keuangan,
atau kelangsungan usaha Emiten atau
Perusahaan Publik

Amendment to the Articles of Association of the Company's
Type of Material Information or Facts Subsidiary in Relation to the Addition of Business Activities of
PT Niaga Batu Raya ("NBR")

Description of Material Information or NBR amended Article 3 of its Articles of Association
Facts concerning its Purposes and Objectives as well as Business
Activities pursuant to the Deed of Statement of Shareholders'
Resolution of PT Niaga Batu Raya No. 300 dated July 22,
2026, drawn up before Dr. Christina Dwi Utami, S.H., M.Hum.,
M.Kn., Notary in the Administrative City of West Jakarta, which
was subsequently approved by the Minister of Law of the
Republic of Indonesia under Decree No. AHU-
0064783.AH.01.02.TAHUN 2026 dated July 30, 2026.
The amendment to the Articles of Association was carried out
to align the Company's Purposes and Objectives and Business
Activities with the 2025 Indonesian Standard Industrial
Classification (Klasifikasi Baku Lapangan Usaha Indonesia -
KBLI 2025), as well as to add new business activities.
Pursuant to the above amendment, NBR's business activities
include, among others:
Before
- KBLI 46610 - Wholesale Trade of Solid, Liquid and Gaseous
Fuels and Related Products;
- KBLI 46620 - Wholesale Trade of Metals and Metal Ores.
After
- KBLI 46710 - Wholesale Trade of Solid, Liquid and Gaseous
Fuels and Related Products;
- KBLI 46751 - Wholesale Trade of Chemical Materials and
Products;
- KBLI 46753 - Wholesale Trade of Hazardous Materials (B2).
At the time the amendment to the Articles of Association was
made, NBR had not yet commenced its operational business
activities. Accordingly, the addition of the aforementioned
business activities serves as the legal basis for the Company
to conduct such business activities as stipulated in its Articles
of Association in the future, subject to the fulfillment of all
applicable requirements and the obtaining of the necessary
licenses and approvals in accordance with the prevailing laws
and regulations.
