Uraian Informasi atau Fakta Material Pada tanggal 24 Desember 2025, Perseroan dan PT Empat
Mitra Tenaga Surya ("EMITS"), telah membentuk satu anak
usaha baru yaitu PT Indika Empat Mitra Timor ("IEMT"), sesuai
dengan akta No. 47 tanggal 24 Desember 2025 yang dibuat
oleh Notaris Ungke Mulawanti, S.H., M.Kn., Notaris di Jakarta
Selatan, dan yang telah mendapat pengesahan pendirian dari
Kementerian Hukum No. AHU-0110975.AH.01.01 tanggal 24
Desember 2025.
IEMT akan melakukan kegiatan usaha di bidang Aktivitas
Konsultasi Manajemen Lainnya (KBLI 70209).
EMITS merupakan anak perusahaan Perseroan di mana 51%
sahamnya dimiliki, baik secara langsung maupun tidak
langsung, oleh Perseroan.
Keterangan mengenai struktur kepemilikan modal IEMT
adalah sebagai berikut:

Description of Material Information or On 24 December 2025, the Company and PT Empat Mitra
Facts Tenaga Surya ("EMITS"), established new legal entity namely
PT Indika Empat Mitra Timor ("IEMT"), based on deed No. 47
dated 24 December 2025 made by Ungke Mulawanti, S.H., M.
Kn Notary in South Jakarta with Ministry of Law approval No.
AHU- 0110975.AH.01.01 dated 24 December 2025.
IEMT will carry out business activities in the fields of Other
Management Consulting Activities (KBLI 70209).
EMITS is a subsidiary of the Company in which 51% of the
shares are owned, either directly or indirectly, by the
Company.
