Material Perseroan dari PT Central Capital Ventura (“CCV”) yang merupakan entitas anak
Perseroan.
3. | Uraian Informasi atau Fakta | pada tanggal 18 Desember 2025 Perseroan dan CCV telah menandatangani Akta
Material
Jual Beli Saham PT Penyelesaian Transaksi Elektronik Nasional Akta No. 68
tanggal 18 Desember 2025 yang dibuat di hadapan Ashoya Ratam, SH., MKn.,
Notaris di Jakarta Selatan dalam rangka Perseroan membeli 3.500 saham PTEN
yang dimiliki oleh CCV.
PTEN adalah lembaga services dalam ekosistem pembayaran GPN (Gerbang
Pembayaran Nasional), suatu perusahaan yang sahamnya dapat dimiliki bersama
(baik secara langsung atau tidak langsung) oleh sejumlah bank KBMI (Kelompok
Bank Berdasarkan Modal Inti) IV dan lembaga switching.
Atas transaksi tersebut di atas, kepemilikan saham PTEN yang sebelumnya
dimiliki secara tidak langsung, kini dimiliki secara langsung oleh Perseroan.
Persentase kepemilikan saham PTEN oleh Perseroan yaitu sebesar
17,596 (tujuh belas koma lima persen).
Hubungan antara Pihak-Pihak yang Bertransaksi
CCV merupakan perusahaan terkendali yang seluruh sahamnya dimiliki oleh
Perseroan (baik langsung maupun tidak langsung), sehingga transaksi pembelian
saham PTEN yang dimiliki CCV ini merupakan transaksi afiliasi sebagaimana
diatur pada Pasal 6 ayat (1) huruf b angka 1 Peraturan OJK No. 42/POJK.04/2020
tentang Transaksi Afiliasi dan Transaksi Benturan Kepentingan yang hanya wajib
dilaporkan oleh Perseroan kepada OJK.

Purchase of PT Penyelesaian Transaksi Elektronik Nasional's (“PTEN”) shares by
the Company from PT Central Capital Ventura (“CCV”), which is the Company's
subsidiary.
3. | Description of Material
Information or Facts
On December 18, 2025, the Company and CCV had signed Deed of Shares Sale and
Purchase of PT Penyelesaian Transaksi Elektronik Nasional No. 68 dated 18
December 2025 that was made in the presence of Ashoya Ratam, SH., MKn., a
Notary in South Jakarta in order to purchase 3,500 PTEN shares owned by CCV.
PTEN is a service institution in the National Payment Gateway ecosystem, a
company whose shares are able to be jointly owned (either directly or indirectly)
by several Core Capital-Based Bank Group (KBMI) IV banks and switching
company.
Asa result of the transaction above, PTEN shares ownership that was owned
indirectly, was now owned directly by the Company. The Company's percentage
of shares ownership is 17.596 (seventeen point five percent).

CCV is wholly-owned by the Company (either directly or indirectly), therefore the
transaction of PTEN shares purchase that was owned by CCV is an afilliated
transaction as regulated in Article 6 paragraph (1) letter b number 1 OJK
Regulation No. 42/POJK.04/2020 on Affiliated Transactions and Conflict of
Interest Transactions that must only be reported by the Company to OJK.
This transaction is not a Material Transaction referring to OJK Regulation No.
17/POJK.04/2020 on Material Transaction and Amendment of Business
