&P SHAPING TOMORROW Tanggal Transaksi Material/ Date of Transaction Material 15 Desember 2025 December 25, 2025 Jenis Informasi atau Fakta Material / Type of Information or Material Facts Perubahan jenis Perseroan dari Sebelumnya Perusahaan Penanaman Modal Dalam Negeri (PMDN) menjadi Perusahaan Penanaman Modal Asing (PMA) Approval of the amendment to the Company's status from a Domestic Investment Company (PMDN) to a Foreign Investment Company (PMA) Uraian Informasi Fakta Material / Description of Information or Material Facts atau Bahwa Perubahan tersebut diperlukan dikarenakan adanya salah satu pemegang saham Perseroan yaitu PT Apollo Visintama Putra yang merupakan perusahaan permodalan modal asing telah masuk ke dalam struktur permodalan utama perseroan melalui pembelian saham dari pemegang saham lama atas nama Limiwaty Lie yang terdaftar pada Bursa Efek Indonesia dengan kepemilikan saham setara dengan 19,37Yo saham, dimana transaksi dilakukan pada pasar negosiasi (free of payment) pada tanggal 05 Juni 2024, sehingga sesuai rekomendasi dari Badan Koordinasi Penanaman Modal (BKPM) untuk kesesuaian data Perseroan pada sistem Administrasi Badan Hukum Umum Kementerian Hukum Republik Indonesia dan sistem Online Single Submission (OSS) Kementerian Investasi/Badan Koordinasi Penanaman Modal, maka Perseroan wajib menyesuaikan jenis perseroan dari yang sebelumnya Perusahaan Penanaman Modal Dalam Negeri (PMDN) menjadi Perusahaan Penanaman Modal Asing (PMA). That amendment is reguired due to the entry of one of the Company's shareholders, PT Apollo Visintama Putra which is a foreign investment company into the Company's primary Capital structure through the acguisition of shares from the previous shareholder, Limiwaty Lie, who is registered with the Indonesia Stock Exchange, with a shareholding eguivalent to 193796. The transaction was conducted in the negotiated market (free of payment) on 5 June 2024. Therefore, in accordance with the recommendation of the Investment Coordinating Board (BKPM) to ensure the alignment of the Company's data within the Ministry of Law and Human Rights" General Legal Administration System and the Online Single Submission (OSS) system of the Ministry of Investment/Investment Coordinating Board, the Company is reguired to adjust its classification from a Domestic Investment Company (PMDN) to a Foreign Investment Company (PMA).
