Pengumuman Perkembangan Negosiasi sehubungan dengan
Rencana Pengambilalihan PT Hotel Fitra International Tbk.
Bersama ini kami informasikan bahwa PT Jinlong Resources
Investment telah menandatangani Perjanjian Jual Beli Saham
Bersyarat PT Hotel Fitra International Tbk dengan PT Gloria
Inti Nusantara, Hendra Sutanto, dan Richard Suwandi Lie
pada tanggal 9 Desember 2025.
Pengumuman perkembangan negosiasi sehubungan dengan
rencana pengambilalihan PT Hotel Fitra International Tbk
Rencana Pengambilalihan telah diumumkan oleh PT Jinlong
Resources Investment di surat kabar Investor Daily pada hari
Kamis tanggal 11 Desember 2025.
Penyelesaian atas Rencana Pengambilalihan akan tunduk
pada pemenuhan persyaratan pendahuluan yang diatur dalam
Perjanjian Jual Beli Saham Bersyarat, dan kesiapan
administratif dari para pihak, serta peraturan perundang-
undangan yang berlaku, termasuk Peraturan Otoritas Jasa
Keuangan Nomor 9 POJK 04 2018 tentang Pengambilalihan
Perusahaan Terbuka POJK No 9 2018.
Dampak kejadian, informasi atau fakta Penyelesaian atas Rencana Pengambilalihan akan
material tersebut terhadap kegiatan menyebabkan adanya perubahan pengendalian atas
operasional, hukum, kondisi keuangan, Perseroan sebagaimana dimaksud dalam POJK No. 9 2018.

Submission of Negotiation Progress Announcement in
connection with the Proposed Acquisition of PT Hotel Fitra
International Tbk.
We hereby inform that PT Jinlong Resources Investment has
executed a Conditional Shares Sale and Purchase Agreement
PT Hotel Fitra International Tbk with PT Gloria Inti Nusantara,
Hendra Sutanto, and Richard Suwandi Lie on 9 December
2025.
The negotiation progress announcement in connection with the
proposed acquisition of PT Hotel Fitra International Tbk
Proposed Acquisition was published by PT Jinlong Resources
Investment in the newspaper Investor Daily on Thursday, 11
December 2025.
Completion of the Proposed Acquisition shall be subject to the
fulfillment of the conditions precedent set forth in the
Conditional Shares Sale and Purchase Agreement, the
administrative readiness of the parties, and the prevailing laws
and regulations, including Financial Services Authority
Regulation No. 9 POJK.04 2018 concerning the Acquisition of
Public Companies POJK No. 9 2018.
