Penjualan
Uraian Informasi atau Fakta Material Perseroan telah ditetapkan sebagai pihak pemenang dalam
proses penjualan atas saham SMS Development Limited
SMSDL, yaitu perusahaan yang memiliki 20% partisipasi tidak
langsung pada Husky CNOOC Madura Limited HCML,
operator pengembangan dan produksi gas alam di wilayah
Madura.
Penetapan tersebut diberikan kepada Perseroan berdasarkan
proposal penawaran yang diajukan Perseroan dan telah dinilai
dalam proses evaluasi sebelumnya.
Sehubungan dengan penetapan tersebut, Perseroan saat ini
belum mengambil keputusan apa pun terkait pelaksanaan
transaksi akuisisi, struktur pembiayaan, rencana penyertaan
modal, maupun bentuk struktur transaksi lainnya.
Pelaksanaan transaksi akan tunduk pada syarat dan
ketentuan yang akan diatur dalam perjanjian-perjanjian terkait
yang mengikat binding agreements dan persetujuan korporasi
yang diperlukan berdasarkan peraturan perundang-undangan
yang berlaku.
Seluruh proses tindak lanjut akan dilakukan dengan
memperhatikan dan memenuhi ketentuan peraturan
perundang-undangan yang berlaku, termasuk ketentuan
Otoritas Jasa Keuangan OJK mengenai Transaksi Material
dan kewajiban Keterbukaan Informasi.

Dampak kejadian, informasi atau fakta Pada tahap ini, penetapan sebagai pemenang dalam proses
material tersebut terhadap kegiatan penjualan belum menimbulkan dampak material langsung
operasional, hukum, kondisi keuangan, terhadap kondisi keuangan, operasional, maupun
atau kelangsungan usaha Emiten atau kelangsungan usaha Perseroan.
Perusahaan Publik
Dampak material baru akan terjadi apabila Perseroan
memasuki tahap penandatanganan perjanjian mengikat
(binding agreement) dan/atau setelah diperolehnya
persetujuan Rapat Umum Pemegang Saham sebagaimana
disyaratkan dalam ketentuan peraturan perundang-undangan
yang berlaku.

Determination of the Company as the Winner in the Sale
Type of Material Information or Facts Process
Description of Material Information or The Company has been designated as the winning party in the
Facts sale of shares in SMS Development Limited SMSDL, a
company that has a 20% indirect stake in Husky CNOOC
Madura Limited HCML, the operator of natural gas
development and production in the Madura region.
This designation was given to the Company based on the bid
proposal submitted by the Company and assessed in the
previous evaluation process.
In connection with this determination, the Company has not yet
made any decisions regarding the implementation of the
acquisition transaction, financing structure, capital participation
plan, or other transaction structures.
The implementation of the transaction will be subject to the
terms and conditions set forth in the relevant binding
agreements and corporate approvals required under
applicable laws and regulations.
All follow-up processes will be carried out with due regard to
and in compliance with applicable laws and regulations,
including the Financial Services Authority (OJK) regulations on
Material Transactions and Disclosure Requirements.
