Namun, pada tanggal 19 November
2025, Perseroan menerima
pemberitahuan dari Twinwood Family
Holdings Limited (“Twinwood”) yang
menyatakan bahwa seluruh saham yang
dimiliki oleh Twinwood, sebanyak
1.195.217.500 saham atau mewakili
65,721Yo dari modal ditempatkan dan
disetor penuh Perseroan, — telah
diambialih oleh AGPA Pte. Ltd. (anak
perusahaan — POSCO International
Corporation) pada tanggal 19 November
2025 (“Pengambilalihan”). Sehubungan
dengan hal tersebut, Perseroan telah
menyampaikan kepada Otoritas Jasa
Keuangan (OJK), Bursa Efek Indonesia
(BEI), dan publik melalui Laporan
Informasi atau Fakta Material Perseroan
No. 1654/SA/XI/25/RO/GC tanggal 20
November 2025 (“Laporan Informasi
atau Fakta Material 20 November
2025”.

Selain informasi mengenai
Pengambilalihan, Perseroan — tidak
mengetahui adanya informasi atau fakta
material lain yang dapat mempengaruhi
harga efek Perseroan atau keputusan
investasi pemodal sebagaimana diatur
dalam Peraturan Otoritas Jasa Keuangan
Nomor 31/POJK.04/2015 — tentang
Keterbukaan Informasi atau Fakta
Material oleh Emiten atau Perusahaan

However, on 19 November 2025, the
Company received a notification from
Twinwood Family Holdings Limited
(“Twinwood”) on 19 November 2025
stating that all shares owned by
Twinwood, totaling 1,195,217,500 shares
or representing 65.721o of the issued and
fully paid-up capital of the Company, have
been acguired by AGPA Pte. Lid. (a
subsidiary of  POSCO International
Corporation) on 19 November 2025
(“Acguisition”). In relation to this matter,
the Company has submitted to the
Financial Services Authority (Otoritas Jasa
Keuangan or OJK), the Indonesia Stock
Exchange (IDX), and the public through
the Company's Information or Material
Fact Report No. 1654/SA/XI/25/RO/GC
dated 20 November 2025 (“Information or
Material Fact Report 20 November 2025”).

Apart from information regarding the
Acguisition, the Company is not aware of
any other information or material facts that
could affect the value of the Company's
securities or investors' — investment
decisions as stipulated in the Financial
Services Authority Regulation Number
31/POJK.04/2015 concerning Disclosure
of Information or Material Facts by Issuers
or Public Companies

AGPA Pte. Ltd. menginformasikan
bahwa kepemilikan sahamnya di
Perseroan dapat meningkat, tunduk
kepada penyelesaian dari proses
penawaran tender wajib (MTO).
