3. Uraian informasi atau fakta Mengacu pada ketentuan Pasal 14 ayat (8) Anggaran Dasar PT Aneka
material / Details of Tambang Tbk (“ ANTAM ”/”Perseroan ”), pada tanggal 13 November

Komisaris Independen Perseroan , sebagai Komisaris Utama pada
Badan Usaha Milik Negara (“ BUMN”) lain. Adapun, berdasarkan
pemberitahuan yang Perseroan terima tersebut, Bapak Rauf Purnama
telah d iangkat sebagai Komisaris Utama di PT Varuna Tirta Prakasya
(Persero) efektif sejak tanggal 28 Oktober 2025.
Bahwa berdasarkan ketentuan Pasal 14 ayat (29) huruf c Anggaran
Dasar Perseroan jo. Pasal 43D Undang -Undang Nomor 19 Tahun 2003
tentang Badan Usaha Milik Negara sebagaimana terakhir diubah
dengan Undang -Undang Nomor 16 Tahun 2025 tentang Perubahan
Keempat atas Undang -Undang Nomor 19 Tahun 2003 tentang Badan
Usaha Milik Negara (“UU BUMN”), terdapat ketentuan bahwa anggota
Dewan Komisaris BUMN dilarang merangkap jabatan salah satunya
sebagai anggota Dewan Komisaris pada BUMN lain .
Pursuant to the provisions of Article 14 paragraph (8) of the Articles of
Association of PT Aneka Tambang Tbk (“ANTAM”/the ”Company ”), on
November 13, 2025 the Company received notification regarding the
appointment of Mr. Rauf Purnama , the Company’s President
Commissioner and Independent Commissioner , as President
Commissioner of another State -Owned Enterprise ( “SOE”).
Furthermore, based on the notification received by the Company, Mr .

Rauf Purnama has been appointed as President Commissioner of PT
Varuna Tirta Prakasya (Persero) effective from October 28, 2025.
Based on the provisions of Article 14 paragraph (29) letter c of the
Company's Articles of Association in conjunction with Article 43D of
Law Number 19 of 2003 concerning State -Owned Enterprises , as last
amended by Law Number 16 of 2025 concerning the Fourth
Amendment to Law Number 19 of 2003 concerning State -Owned
Enterprises (“ SOE Law ”), there is a provision that members of the
Board of Commissioners of a SOE are prohibited from holding
concurrent positions, one of which is as a member of the Board of
Commissioners of another SOE.
