Berdasarkan Perubahan Kesatu terhadap Akta
Perjanjian Kredit No. 82 tertanggal 5 Desember
2024 yang ditandatangani pada tanggal 11
November 2025, Perseroan bersama-sama
dengan SMI, SMA, KSU, RSGK, UNPM, UTPM dan
SMS, masing-masing selaku Debitur, telah
memperoleh peningkatan nilai Fasilitas
Pinjaman Transaksi Khusus Ekstra - on
Revolving Basis — Fasilitas Kredit Langsung
Uncommitted — menjadi sampai dengan

In accordance with the Financial Services Authority
Regulation
No. 42/POJK.04/2020 concerning
Affiliated Transaction and Conflict of Interest
Transaction (“POJK No. 42/2020”), we hereby
submita report regarding affiliated transactions that
have been carried out by and between:

PT Sinar Medika Sejathera (“SMS”).

and SMS are hereinafter collectively referred to as the
“Parties".
A.
Details of Affiliated Transaction
Based on the First Amendment to Deed of Credit
Agreement No. 82 dated 5 December 2024
which has been executed on 11 November 2025,
the Company together with SMI, SMA, KSU,
RSGK, UNPM, UTPM and SMS, each as
Borrower, have obtained an increase to the
Extra Special Transaction Loan Facility - on
Revolving Basis - Uncommitted Direct Credit
Facility amounting up to Rp200,000,000,000,-
(two hundred billion Rupiah) from PT Bank

JL.Pulomas Barat VI No.20 Jakarta Timur 13210, Indonesia P :150789 W : www.emc.id Rp200.000.000.000,- (dua ratus miliar Rupiah) dari PT Bank CIMB Niaga Tbk (“CIMB”) selaku Kreditur (“Fasilitas CIMB”). Para Pihak menyerahkan agunan kepada CIMB untuk menjamin seluruh Fasilitas CIMB, sebagai berikut: 1. Sertifikat Hak Guna Bangunan Nomor 2334/Citaringgul, terdaftar atas nama PT Unggul Pratama Medika berkedudukan di Kabupaten Bogor, 2. Sertifikat Hak Guna Bangunan Nomor 2347 /Citaringgul, terdaftar atas nama PT Unggul Pratama Medika berkedudukan di Kabupaten Bogor, 3. Sertifikat Hak Guna Bangunan Nomor 2351/Citaringgul, terdaftar atas nama PT Unggul Pratama Medika berkedudukan di Kabupaten Bogor, 4. Sertifikat Hak Guna Bangunan Nomor 2989/ Citaringgul, terdaftar atas nama PT Unggul Pratama Medika berkedudukan di Kabupaten Bogor, yang dibebani dengan Hak Tanggungan Peringkat I dengan nilai penjaminan sebesar Rp150.000.000.000,- (seratus lima puluh miliar Rupiah) (“Transaksi”). Hubungan antara Para Pihak 1. SMI merupakan entitas anak yang dimiliki secara langsung oleh Perseroan dengan persentase kepemilikan saham sebesar 99,999/h dari seluruh modal ditempatkan dan disetor SMI. 2. SMA merupakan entitas anak yang dimiliki secara langsung oleh Perseroan dengan persentase kepemilikan saham sebesar 99,9998/4 dari seluruh modal ditempatkan dan disetor SMA. 3. KSU merupakan entitas anak yang dimiliki secara langsung oleh Perseroan dengan persentase kepemilikan saham sebesar 99,9997h dari seluruh modal ditempatkan dan disetor KSU. 4. RSGK merupakan entitas anak yang dimiliki secara langsung oleh Perseroan dengan persentase kepemilikan saham sebesar 79,84/o dari seluruh modal ditempatkan dan disetor RSGK. 5. UNPM merupakan entitas anak yang dimiliki secara tidak langsung oleh Perseroan dengan persentase kepemilikan CIMB Niaga Tbk (“CIMB”) as Lender (“CIMB Facility”). The Parties provided assets to CIMB as security to guarantee the CIMB Facility, as detailed below: 1. Building Use Rights Certificate Number 2334/Citaringgul, registered in the name of PT Unggul Pratama Medika domiciled in Bogor Regency: 2. Building Use Rights Certificate Number 2347/Citaringgul, registered in the name of PT Unggul Pratama Medika domiciled in Bogor Regency: 3. Building Use Rights Certificate Number 2351/Citaringgul, registered in the name of PT Unggul Pratama Medika domiciled in Bogor Regency, 4. Building Use Rights Certificate Number 2989/Citaringgul, registered in the name of PT Unggul Pratama Medika domiciled in Bogor Regency, which are encumbered with a Rank I Mortgage Rights, with a total collateral value of Rp150,000,000,000,- (one hundred and fify billion Rupiah) (“Transaction"). Relationship between the Parties 1. SMI isa subsidiary entity directly owned by the Company with a share ownership percentage of 99.9994 of all issued and paid-up capital of SMI, 2. SMA is a subsidiary entity directly owned by the Company with a share ownership percentage of 99.9998Y6 of all issued and paid-up capital of SMA. 3. KSU isa subsidiary entity directly owned by the Company with a share ownership percentage of 99.999744 of all issued and paid-up capital of KSU. 4. RSGK is a subsidiary entity directly owned by the Company with a share ownership percentage of 79.8446 of all issued and paid-up capital of RSGK. 5. UNPM is a subsidiary entity indirectly owned by the Company with a share ownership percentage of 9749946 of all issued and paid-up capital of UNPM. Page 2 of 4

UTPM merupakan entitas anak yang dimiliki secara tidak langsung oleh Perseroan dengan persentase kepemilikan saham sebesar 99,9996y6 dari seluruh modal ditempatkan dan disetor UTPM. 7. SMS merupakan entitas anak yang dimiliki secara tidak langsung oleh Perseroan dengan persentase kepemilikan saham sebesar 79,94Yp dari seluruh modal ditempatkan dan disetor SMS. Perseroan dan masing-masing SMI, SMA, KSU, RSGK, UNPM, UTPM, dan SMS memiliki hubungan Afiliasi sebagaimana dimaksud dalam POJK 42/2020. Oleh karena itu, Transaksi yang dilakukan oleh dan antara Para Pihak merupakan Transaksi Afiliasi yang diatur dalam POJK 42/2020. Penjelasan, Pertimbangan, dan Alasan dilakukannya Transaksi dibandingkan dengan apabila dilakukan Transaksi Lain yang Sejenis dengan Pihak Tidak Terafiliasi Transaksi ini dilakukan oleh Para Pihak untuk memperoleh Fasilitas CIMB, dengan masing- masing bertindak sebagai Debitur. Melalui Transaksi, Para Pihak menjamin pembayaran penuh dan tertib atas Fasilitas CIMB kepada CIMB selaku Kreditur Dalam pelaksanaan Transaksi, Para Pihak masing-masing telah memenuhi ketentuan anggaran dasar dan peraturan perundang- undangan yang berlaku, termasuk namun tidak terbatas memperoleh persetujuan persetujuan perusahaan. Pernyataan Dewan Komisaris dan Direksi Direksi dan Dewan Komisaris Perseroan dengan ini menyatakan bahwa sepanjang pengetahuan dan keyakinan Direksi dan Dewan Komisaris Perseroan, semua informasi material sehubungan dengan Transaksi telah diungkapkan dan tidak menyesatkan. Informasi Tambahan 6. UTPM is a subsidiary entity indirectly owned by the Company with a share ownership percentage of 99.99964 of all issued and paid-up capital of UTPM. 7. SMS isa subsidiary entity indirectly owned by the Company with a share ownership percentage of 79.941 of the total issued and paid-up capital of SMS. The Company and each of SMI, SMA, KSU, RSGK, UNPM, UTPM and SMS have an Affiliate relationship as defined in POJK 42/2020. Therefore, the Transaction carried out by and between the Parties is an Affiliated Transaction as regulated in POJK 42/2020. Explanations, Considerations, and Reasons for the Transaction compared to if executing Another Similar Transaction with an Unaffiliated Party The Transaction is conducted by the Parties to secure the CIMB Facility, with each acting in their capacity as a Borrower. Through this Transaction, the Parties guarantee the full and orderly payment of the CIMB Facility to CIMB, the Lender. In executing this Transaction, each Party has adhered to the provisions of their articles of association as well as all applicable laws and regulations, including, but not limited to, obtaining the necessary corporate approvals. Statement of the Board of Commissioners and Board of Directors The Directors and Board of Commissioners of the Company hereby declare that to the best of the knowledge and belief of the Directors and Board of Commissioners of the Company, all material information relating to the Transaction has been disclosed and is not misleading. JL.Pulomas Barat VI No.20 Jakarta Timur 13210, Indonesia P :150789 W : www.emc.id Transaksi oleh dan antara Perseroan dan masing-masing SMI, SMA, KSU, RSGK, UNPM, UTPM, dan SMS merupakan Transaksi Afiliasi sebagaimana dimaksud dalam POJK No. 42/2020 namun bukan merupakan Transaksi yang mengandung Benturan Kepentingan yang dimaksud oleh POJK No. 42/2020. Melalui Transaksi, masing-masing Perseroan, SMI, SMA, KSU, RSGK, UNPM, UTPM dan SMS dapat memperoleh Fasilitas CIMB secara langsung, Oleh karenanya, dengan merujuk kepada ketentuan Pasal 6 ayat (1) huruf e POJK No. 42/2020, Transaksi ini merupakan transaksi afiliasi yang dikecualikan dari kewajiban untuk terlebih dahulu memperoleh penilaian independen dan mengumumkan keterbukaan informasi sebelum transaksi afiliasi dapat dilakukan. As a result of the Transaction, each of the Company, SMI, SMA, KSU, RSGK, UNPM, UTPM, and SMS can directly obtain CIMB Facilities. 'According to Article 6, paragraph (1), letter e of POJK No. 42/2020, this Transaction gualifies as an affiliate transaction that is exempt from the reguirement of obtaining an independent appraisal and publicly disclosing information prior to carrying out the affiliate transaction.
