Uraian Informasi atau Fakta Material Perseroan, bersama dengan perusahaan pihak ketiga yaitu PT
Ormat Geothermal Indonesia (Ormat), telah membentuk
Usaha Patungan yang dinamakan PT Toka Tindung
Geothermal, dengan persentase kepemilikan Perseroan dan
Ormat masing-masing sebesar 5% (persen) dan 95%
(sembilan puluh lima persen).
Tujuan pembentukan Perusahaan Usaha Patungan tersebut
adalah untuk bekerja sama dalam pengembangan bersama
program pengeboran eksplorasi dan rancangan, pengadaan,
pembiayaan, konstruksi, pengujian, komisioning, kepemilikan,
pengelolaan, pengoperasian dan pemeliharaan fasilitas panas
bumi yang akan dilaksanakan di dalam Konsesi
Pertambangan Entitas Anak Perseroan yaitu PT Meares
Soputan Mining dan PT Tambang Tondano Nusajaya.
Dampak kejadian, informasi atau fakta Perusahaan Usaha Patungan sebagaimana telah disebutkan
material tersebut terhadap kegiatan di atas akan memberikan dampak positif terhadap
operasional, hukum, kondisi keuangan, keberlangsungan usaha Perseroan dan Entitas Anak, di mana
atau kelangsungan usaha Emiten atau kegiatan usaha atas Perusahaan Usaha Patungan tersebut
Perusahaan Publik memiliki prospek untuk dapat melakukan produksi dan
penjualan tenaga listrik dengan fasilitas panas bumi.

Description of Material Information or The Company with a third party company PT Ormat
Facts Geothermal Indonesia (Ormat), established a Joint Venture
company, namely PT Toka Tindung Geothermal, with
shareholding percentages of the Company and Ormat are 5%
(five percent) and 95% (ninety five percent), respectively.
This Joint Venture Company is designed to cooperate in the
joint development of the exploration drilling program and the
design, engineering, procurement, financing, construction,
testing, commissioning, ownership, management, operation
and maintenance of the geothermal facilities to be executed
within the Mining Concessions of the Companys Subsidiaries
which are PT Meares Soputan Mining and PT Tambang
Tondano Nusajaya.
Impact of event, material information or The Joint Venture Company as mentioned above will have
facts towards Issuers or Public positive impacts on the Company and its Subsidiaries
Company’s operational activities, legal, business. This Joint Venture Company has prospects of being
financial condition, or going concern able to produce and sell of electricity by the geothermal
facilities.
