rencana pengambilalihan PT Master Print
Tbk tertanggal 24 Juni 2025 dari Deep
Source Pte Ltd., di surat kabar Investor Daily,
maka sebagai tindak lanjut dari negosiasi
tersebut, pada hari Selasa tanggal 11
November 2025 telah dilakukan
penandatanganan Perjanjian Jual Beli
Saham Bersyarat (CSPA) antara Perseroan
dengan Deep Source Pte Ltd. Nilai transaksi
definitif akan tunduk pada kesepakatan lebih
lanjut para pihak berdasarkan hasil laporan
penilaian dari penilai independent yang saat
ini masih dalam tahap persiapan.
Penandatanganan ini menunjukkan komitmen
para pihak untuk melanjutkan transaksi,
namun penyelesaiannya masih terikat pada
pemenuhan syarat-syarat pendahuluan
sebagaimana diatur dalam perjanjian.
Selanjutnya, Perseroan akan memberikan
update informasi mengenai perkembangan
transaksi, dengan senantiasa memperhatikan
dan memenuhi ketentuan perundang-

undangan yang berlaku, termasuk POJK No.
9/2018, Peraturan Otoritas Jasa Keuangan
Nomor 17/POJK.04/2020 Tahun 2020
Tentang Transaksi Material dan Perubahan
Kegiatan Usaha (“POJK No. 17/2020”) dan
peraturan terkait keterbukaan informasi.
Referring to the announcement of negotiation
in connection with the proposed acquisition of
of PT Master Print Tbk dated June 24, 2025,
by Deep Source Pte Ltd., published in the
Investor Daily newspaper, as a follow-up to
the said negotiation, on Tuesday, November
11, 2025, a Conditional Shares Purchase
Agreement (CSPA) was signed between the
Company and Deep Source Pte Ltd.
Definitive transaction value will be subject to
further agreement of the parties based on the
result of appraisal report by independent
appraisal which is currently in progress.
This signing confirms the parties' commitment
to the transaction, its closing is still
conditional upon the satisfaction of the
condition precedent outlined in the
agreement.
Furthermore, the Company will provide
updates on the progress of the transaction,
while continuing to observe and comply with
applicable laws and regulations, including
POJK No.9/2018, Regulation of The Financial
Services Authority Number 17/POJK.04/2020
of 2020 on Material Transactions and
Alteration of Business Activities (“POJK No.
17/2020”) and regulations related to
information disclosure.
