Uraian Informasi atau Fakta Material Perseroan mengetahui adanya spekulasi di media dan rumor
yang bergulir kembali mengenai adanya rencana transaksi
merger antara Perseroan dengan Grab di beberapa media,
termasuk di bawah ini:
a. Berita yang diterbitkan oleh media Kontan berjudul:
Skenario Jalan Mulus bagi Merger GoTo dan Grab, yang terbit
pada edisi cetak tanggal 11 November 2025

Perseroan bermaksud untuk memberikan klarifikasi sebagai
berikut:
Rencana pelaksanaan Rapat Umum Pemegang Saham Luar
Biasa (RUPSLB) tidak terkait dengan rencana tindakan
korporasi apapun. Penyelenggaraan RUPSLB merupakan
bagian dari tata kelola perusahaan yang baik (good corporate
governance) dan tidak perlu menimbulkan kekhawatiran.
Agenda RUPSLB akan disampaikan oleh Perseroan pada
tanggal 25 November 2025 setelah dilakukan proses
penelaahan secara menyeluruh oleh jajaran Direksi, Dewan
Komisaris serta komite-komite terkait Perseroan. Direktur
Utama, Direksi, dan manajemen terus berkomitmen penuh
untuk bertindak secara profesional serta mengutamakan
kepentingan Perseroan dan seluruh pemangku kepentingan.
Menanggapi pemberitaan media yang disebutkan adanya
escrow fund sebesar USD 300 juta di Singapura yang
dikaitkan dengan rencana transaksi strategis antara GoTo dan
Grab serta spekulasi buyout saham GoTo yang dimiliki
Telkomsel, Perseroan menegaskan bahwa informasi tersebut
adalah tidak benar dan menyesatkan.
Perseroan telah menyampaikan penjelasan Perseroan
terhadap berita-berita yang beredar di masyarakat pada hari
Selasa, tanggal 11 November 2025 yang dapat dilihat pada

operasional, hukum, kondisi keuangan, kelangsungan usaha Perseroan. Fokus Perseroan saat ini
atau kelangsungan usaha Emiten atau tetap pada eksekusi agar dapat mencapai sasaran strategis
Perusahaan Publik guna menciptakan nilai jangka panjang bagi para pemegang
saham dan seluruh ekosistem GoTo.

The Company hereby provide the following clarifications:
The plan to convene the Extraordinary General Meeting of
Shareholders (EGMS) is not related to any planned corporate
actions. The implementation of the EGMS is part of good
corporate governance and should not be a cause for concern.
The agenda of the EGMS will be provided on November 25,
2025 after being fully reviewed by the Board of Directors,
Board of Commissioners, and relevant committee of the
Company. The President Director, Board of Directors, and
management remain fully committed to acting professionally
and in the best interests of the Company and all stakeholders.
In response to mass media news which mentioned the
existence of an escrow fund of USD 300 million in Singapore
related to a strategic transaction plan between GoTo and
Grab, as well as speculation about a buyout of GoTo shares
owned by Telkomsel, the Company asserts that the
information is untrue and misleading.
The Company has provided the Company's explanation
