1) Peraturan Otoritas Jasa Keuangan (POJK) Nomor
12/POJK.03/2020 Tentang Konsolidasi Bank Umum;
2) Peraturan Otoritas Jasa Keuangan (POJK) Nomor 22
Tahun 2022 Tentang Kegiatan Penyertaan Modal oleh Bank
Umum;
3) Peraturan Otoritas Jasa Keuangan (POJK) Nomor
31/POJK.04/2015 tanggal 16 Desember 2015 tentang
Keterbukaan Informasi atas Informasi atau Fakta Material oleh
Emiten atau Perusahaan Publik;
4) Peraturan Provinsi Jawa Timur Nomor 8 Tahun 2019
tentang Badan Usaha Milik Daerah;
5) Rapat Umum Pemegang Saham Luar Biasa Tahun
2024 menyetujui melakukan penyertaan modal kepada Bank
Banten sebesar 10 Miliar.

Bersyarat Oleh dan Antara PT Bank Pembangunan Daerah
Jawa Timur Tbk Nomor 064/100/DIR/MAP/PKS, PT Bank
Pembangunan Daerah Banten (Perseroda) Tbk Nomor
1303/DIR-BB/X/2025 dan Pemerintah Provinsi Banten tanggal
06 Oktober 2025 dan Pemerintah Provinsi Banten No.
174/2025 tanggal 06 Oktober 2025;
7) Surat Otoritas Jasa Keuangan (OJK) Nomor S-
165/KO.14/2025 tanggal 26 Agustus 2025 perihal Persetujuan
Penyertaan Modal PT BPD Jawa Timur Tbk sebesar Rp10
miliar kepada PT BPD Banten Tbk.
Atas hal tersebut di atas disampaikan pada tanggal 05
November 2025 Bank Jatim telah melakukan pembelian
saham Bank Banten (BEKS) di secondary market (regular)
dengan harga Rp27,- (dua puluh tujuh rupiah) dengan jumlah
275.119 (dua ratus tujuh puluh lima ribu seratus
sembilanbelas) lot atau 27.511.900 (dua puluh juta lima ratus
sebelas ribu sembilan ratus) lembar saham sebesar Rp742.
821.300,00 (tujuh ratus empat puluh dua juta delapan ratus
dua puluh satu ribu tiga ratus rupiah) yang merupakan
rangkaian dari pelaksanaan / implementasi Kelompok Usaha
Bank (KUB).
Dampak kejadian, informasi atau fakta Bank Jatim menjadi Pemegang Saham Bank Banten.

Disclosure of Information or Material Facts by Issuers or Public

concerning Regionally Owned Enterprises (Badan Usaha Milik

5) The Extraordinary General Meeting of Shareholders
(EGMS) of 2024 approved a capital participation in Bank
Banten amounting to IDR 10 billion;

174/2025 dated October 6, 2025;

Approval of Capital Participation by PT BPD Jawa Timur Tbk
amounting to IDR 10 billion in PT BPD Banten Tbk.
In relation to the above, it is hereby informed that on
November 5, 2025, Bank Jatim conducted a purchase of Bank
Banten (BEKS) shares on the secondary (regular) market at a
price of Rp 27,- (twenty-seven rupiah) per share, totaling
275.119 (two hundred seventy-five thousand one hundred
nineteen) lots or 27.511.900 (twenty-seven million five hundred
eleven thousand nine hundred) shares, amounting to Rp742.
821.300,00 (seven hundred forty-two million eight hundred
twenty-one thousand three hundred rupiah), as part of the
implementation of the Bank Business Group (Kelompok Usaha
Bank / KUB).
