SMKM to acquire Singapore Headquartered Aquaculture Business after Mandatory
Tender Offer by Lim Shrimp Org
New shareholder to conduct Mandatory Tender Offer and acquire new business through
Capital Increase With Capital Increase With Pre-Emptive Rights (“Rights Issue”) subject to
approval by shareholders and regulators.
JAKARTA, 5 November 2025 - PT Sumber Mas Konstruksi Tbk (“SMKM” or the “Company”),
a company listed on the Indonesia Stock Exchange (“IDX”) is pleased to provide an update
on the progress of the change in controlling shareholder of the Company as announced on
the website of IDX on 27 October 2025. PT Vina Nauli Jordania as the previous controlling
and majority shareholder of the Company has completed the sale of 313,250,000 shares
(“Sale Shares”) of SMKM, representing 25.00% of the entire and ordinary share capital of the
Company to Lim Shrimp Org Pte. Ltd. (“LSO”), a Singapore-based private limited company
that is principally engaged in the aquaculture business, including the development and
construction of third-party and its own aquaculture facilities and their subsequent operation
and management. Following completion of this transaction, LSO is now the majority and
controlling shareholder of the Company.
The acquisition of the Sale Shares is part of the transactions set out in the Conditional Share
Purchase Agreement (“CSPA”) that was entered into between PT Vina Nauli Jordania and
LSO on 10 October 2025. Pursuant to the CSPA, LSO shall acquire up to 450,000,000 shares
of SMKM, equivalent to up to 35.91% of its share capital in two tranches. Following the
completion of the sale and purchase of the Sale Shares, the first tranche of the transaction
governed by the CSPA has been completed. The sale and purchase of the second tranche
comprising of up 136,750,000 shares or 10.91% of Company’s share capital is conditional
upon the completion of the MTO, among other customary conditions precedent. Completion
of the sale and purchase of the second tranche is expected to take place before, but no later
than, 30 June 2026, unless otherwise extended by both PT Vina Nauli Jordania and LSO.
As the new majority and controlling shareholder of the Company, LSO will conduct a
Mandatory Tender Offer (“MTO”) in accordance with the process as stipulated in POJK
9/2018. Following the completion of the MTO, SMKM will commence to refresh its
management team, acquire LSO’s existing business through Rights Issue and also carve out
SMKM’s existing business, including procuring shareholders’ approval at such general

meeting(s) to be convened and each corporate action will be carried out in accordance with
the prevailing laws and regulations of Indonesia.
Via the acquisition of LSO’s businesses, SMKM will be transformed into a regional aquaculture
company, with aquaculture assets and presences across Indonesia, Malaysia and Singapore.
Post-acquisition, LSO envisages that it will leverage on SMKM’s platform, to raise funds, and
its own aquaculture and commercial expertise to implement measures to improve farm
productivity and expand shrimp processing capacity, as well as to develop a pipeline of
opportunistic acquisition targets to extend vertical and horizontal integration.
By expanding downstream processing capabilities, LSO aims to expand its share of direct
international exports, facilitating margin capture, and eventually enter into seafood import and
distribution in strategic destination markets. In relation to farm productivity, LSO has
developed a mobile application to improve monitoring and hence survival rates and enable
higher intensity farming at traditional farms.
Indonesia is a major aquaculture producer. According to Food and Agriculture Organization of
the United Nations (“FAO”), Indonesia produced 15.36 million live weight tonnes of
aquaculture produce and accounted for approximately 11% of global output in 2023. 1 LSO’s
efforts will aid towards improving Indonesia’s competitiveness in the global aquaculture
market. Within the shrimp farming industry, LSO further estimates that an improvement in
survival rates from less than 50% to 70 – 80% at low intensity farms will raise global shrimp
production by approximately 12%. Based on a market size of US$60 billion as estimated by
FAO, higher survival rates can in turn save the industry up to US$7.2 billion of lost production
each year.2
LSO is currently reorganizing itself for the purpose of this acquisition and to comply with
Indonesia capital market and regulatory requirements. Upon acquisition, LSO will own and
operate more than 800,000 square metres of shrimp farms, across Indonesia and Malaysia,
with an aggregate of 40 culture ponds and it plans to add more than 50 ponds within its existing
farms to raise production capacity to more than 3,500 tonnes of shrimp per annum. Shrimp
processing capacity will also be increased from around 1,200 tonnes per year to more than
5,000 tonnes per year under the initial phases of its expansion. LSO is also in the midst of
developing a sea cucumber farm in the Pacific island of Palau, capable of producing
approximately 1 tonne of products by dry weight under Phase 1 of 10,000 square meters or 1
hectare. LSO has the option to expand this farm to around 50 hectares, all of these
developments will be conducted in accordance with the prevailing laws and regulations of
Indonesia.

Further details will be announced in due course. The acquisition of LSO’s businesses is
expected to take place around Q1/Q2 2026 or such later date to be announced. Prior to the
addition of this new business, SMKM will remain operational and continue with its current
business activities.
