Kami untuk dan atas nama PT Global Digital Niaga Tbk (“Perseroan”) menyampaikan Laporan
sehubungan dengan Keterbukaan Informasi sebagaimana dimaksud dalam (i) Peraturan OJK No.
31/POJK.04/2015 tentang Keterbukaan atas Informasi atau Fakta Material oleh Emiten atau
Perusahaan Publik; dan (ii) Keputusan Direksi BEI No. Kep-00066/BEI/09-2022, Perubahan
Peraturan No. I-E tentang Kewajiban Penyampaian Informasi dengan informasi sebagai berikut /

Description of Material Perseroan atas permintaan penjelasan oleh BEI pada
Information or Facts tanggal 4 November 2025, sebagai tindak lanjut atas
jawaban Perseroan, Perseroan dengan ini
menyampaikan bahwa Perseroan telah melakukan
penyesuaian organisasi yang dimulai dan telah selesai
pada bulan Oktober 2025 yang lalu (“Penyesuaian
Organisasi”). Perseroan, dengan penuh
pertimbangan yang mendalam, memandang perlu
untuk melakukan Penyesuaian Organisasi untuk
memastikan Perseroan dapat bergerak lebih efektif
dan efisien dengan tujuan untuk membuka peluang
pertumbuhan Perseroan yang berkelanjutan serta
menciptakan nilai jangka panjang bagi Perseroan dan
para pemegang saham. Penyesuaian Organisasi
tersebut merupakan salah satu langkah efisiensi biaya
operasional Perseroan, selain daripada langkah-
langkah efisiensi biaya lainnya yang telah dan akan
diimplementasikan oleh Perseroan. /
Referring to the request for explanation from the BEI
through its letter dated 3 November 2025, and the
Company’s response to the IDX’s request for
explanation dated 4 November 2025, as a follow-up
to the Company’s response, the Company hereby
informs that it has carried out an organizational
alignment which commenced and was completed in
October 2025 (“Organizational Alignment”). The
Company, after thorough consideration, deems it

necessary to caried out the Organizational Alignment
to ensure that the Company can operate more
effectively and efficiently, with the objective to open
opportunities for achieving sustainable growth of the
Company and creating long-term value for the
Company and its shareholders. This Organizational
Alignment constitutes one of the Company’s
measures to improve operational cost efficiency, in
addition to other cost-efficiency initiatives that have
been and will be implemented by the Company.
Perseroan menyampaikan bahwa sehubungan
dengan pelaksanaan Penyesuaian Organisasi
tersebut, terdapat 270 karyawan Perseroan yang
terdampak. Dalam pelaksanaannya, Perseroan telah
memberikan paket kompensasi untuk memastikan
pemenuhan seluruh hak para karyawan yang
terdampak telah sesuai atau bahkan lebih daripada
yang diatur dalam ketentuan peraturan undang-
undang ketenagakerjaan yang berlaku di Indonesia. /
The Company, hereby informs that in connection with
the implementation of the Organizational Alignment,
a total of 270 of the Company’s employees were
affected. In its implementation, the Company has
provided a compensation package to ensure that all
rights of the affected employees have been fulfilled in
accordance with, or even exceeding, the provisions
stipulated under the prevailing labor laws in
Indonesia.
Adapun, Perseroan memahami bahwa Penyesuaian
Organisasi memiliki tantangan tersendiri, namun
manajemen Perseroan percaya bahwa Penyesuaian
Organisasi akan memiliki dampak positif terhadap
kinerja Perseroan di masa depan. /
The Company understands that the Organizational
Alignment presents its own set of challenges,
however, the Company’s management believes that
the Organizational Alignment will have a positive
impact on the Company’s performance in the future.
4. Dampak Kejadian terhadap : Penyesuaian Organisasi tidak berdampak material
Kegiatan Operasional, Hukum, terhadap kegiatan operasional, aspek hukum, posisi

Impact of the Event to The Organizational Alignment does not have any
Operational Activities, Legal, material impact on the Company’s operational
Financial Condition, or activities, legal aspect, financial position, or business
Business of the Issuer or Public continuity.

Sebaliknya, dengan adanya Penyesuaian Organisasi,
Perseroan akan memiliki basis beban operasional
yang lebih rendah sehingga dapat membantu
perbaikan kinerja Perseroan ke depannya untuk
memastikan agar dapat terus membawa dampak
positif bagi Perseroan dan pemegang saham. /
On the contrary, with the implementation of the
Organizational Alignment, the Company will have a
lower operational cost base, which is expected to
support the improvement of the Company’s
performance going forward and to ensure that it
continues to deliver positive impact for the Company
and its shareholders.
