Uraian Informasi atau Fakta Material Sehubungan dengan pengumuman yang telah dilakukan oleh
PT Mah Sing Indonesia di media massa pada tanggal 27
Oktober 2025 mengenai rencana akuisisi oleh Perseroan kami
PT Dharma Polimetal Tbk sesuai dengan ketentuan Undang
Undang Nomor 40 Tahun 2007 tentang Perseroan Terbatas
sebagaimana telah diubah sebagian oleh Undang Undang
Nomor 6 Tahun 2023 tentang Penetapan Peraturan
Pemerintah Pengganti Undang Undang Nomor 2 Tahun 2022
tentang Cipta Kerja Menjadi Undang Undang dengan ini kami
bermaksud untuk memberikan penjelasan kepada Otoritas
Jasa Keuangan OJK terkait hal tersebut
Dengan ini kami mengonfirmasi bahwa PT Dharma Polimetal
Tbk saat ini sedang dalam proses finalisasi dokumentasi dan
proses legal akuisisi terhadap PT Mah Sing Indonesia Syarat
dan ketentuan dari dokumentasi akuisisi masih dalam tahap
negosiasi dan pendalaman oleh Direksi Perseroan kami
Proses ini dilakukan sesuai dengan kepentingan Perseroan
serta seluruh pemangku kepentingan
Nilai yang diusulkan untuk akuisisi ini berada di bawah
ambang batas threshold transaksi material sebagaimana
diatur dalam Peraturan Otoritas Jasa Keuangan Nomor 17
POJK 04 2020 tentang Transaksi Material dan Perubahan
Kegiatan Usaha yaitu di bawah 20 dua puluh persen dari
ekuitas Perseroan kami
Dampak kejadian, informasi atau fakta Peningkatan pendapatan serta penambahan portofolio produk
material tersebut terhadap kegiatan khususnya pada komponen plastik untuk kendaraan roda
operasional, hukum, kondisi keuangan, empat (4W)
atau kelangsungan usaha Emiten atau

Description of Material Information or In relation to the announcement made by PT Mah Sing
Facts Indonesia in the mass media on 27 October 2025 regarding
the plan of acquisition by our Company PT Dharma Polimetal
Tbk and in accordance with the provisions of Law No 40 of
2007 on Limited Liability Companies as partially amended by
Law No 6 of 2023 on the Stipulation of Government Regulation
in Lieu of Law No 2 of 2022 on Job Creation into Law we
hereby intend to provide an explanation to the Financial
Services Authority OJK in relation thereto
We hereby confirm that PT Dharma Polimetal Tbk is currently
in the preliminary stage of finalizing the documents and legal
process for the acquisition of PT Mah Sing Indonesia
The terms and conditions of the acquisition documentation are
still under negotiation and further review by our Board of
Directors of the Company This process is being carried out in
alignment with the interests of the Company and all
stakeholders
Impact of event, material information or Increase in revenue and broaden Company's product portfolio,
facts towards Issuers or Public particularly in plastic components for four-wheel vehicles (4W)
Company’s operational activities, legal,
