Lapangan Banteng Timur No. 2-4 Jakarta 10710 Attn: Head Executive of Capital Market, Derivative Finance, and Carbon Exchange Supervision Dear Sir, In order to comply with Regulation of the Financial Services Authority No. 31/POJK.04/2015 conceming Disclosure of Information or Material Facts by Issuers or Public Companies, as partially amended by Regulation of the Financial Services Authority No. 45 of 2024 concerning Development and Strengthening of Issuers and Public Companies, and Regulation No. I-E conceming Obligation to Submit Information as stipulated in the Attachment of the Decree of the Board of Directors of PT Bursa Efek Indonesia No. KEP-00066/BEI/09-2022 dated 30 September 2022, we, PT Dharma Polimetal Tbk (the “Company”), hereby submit a Report on Information or Material Facts as follows: In relation to the announcement made by PT Mah Sing Indonesia in the mass media on 27 October 2025 regarding the plan of acguisition by our Company, PT Dharma Polimetal Tbk, and in accordance with the provisions of Law No. 40 of 2007 on Limited Liability Companies as partially amended by Law No. 6 of 2023 on the Stipulation of Government Regulation in Lieu of Law No. 2 of 2022 on Job Creation into Law, we hereby intend to provide an explanation to the Financial Services Authority (“OJK”) in relation thereto. fe A 1 Plant 1 : Delta Silikon 1, Jl. PT DHARMA POLIMETAL Tbk AUTOMOTIVE COMPONENT AND METAL FINISHING Automotive Environment IATF 16949 ISO 14001 Ewaon @ mao Dengan ini kami mengonfirmasi bahwa PT Dharma Polimetal Tbk saat ini sedang dalam proses finalisasi dokumentasi dan proses legal akuisisi terhadap PT Mah Sing Indonesia dalam rangka pengembangan dan ekspansi kegiatan usaha Perseroan, antara lain untuk peningkatan pendapatan serta penambahan portofolio produk, khususnya pada komponen plastik untuk kendaraan roda empat (4W). Saat ini, syarat dan ketentuan dari dokumentasi akuisisi masih dalam tahap negosiasi dan pendalaman oleh Direksi Perseroan kami. Proses ini dilakukan sesuai dengan kepentingan Perseroan serta seluruh pemangku kepentingan. Nilai yang diusulkan untuk akuisisi ini berada di bawah ambang batas (threshold) transaksi material sebagaimana diatur dalam Peraturan Otoritas Jasa Keuangan Nomor 17/POJK.04/2020 tentang Transaksi Material dan Perubahan Kegiatan Usaha, yaitu di bawah 20” (dua puluh persen) dari ekuitas Perseroan kami. Sejauh pengetahuan kami, setelah dilakukan pemeriksaan dan penelusuran yang wajar, tidak terdapat potensi benturan kepentingan sebagaimana dimaksud dalam Peraturan Otoritas Jasa Keuangan Nomor 42/POJK.04/2020 tentang Transaksi Afiliasi dan Transaksi Benturan Kepentingan. Perlu kami sampaikan bahwa saat ini PT Dharma Polimetal Tbk berkomitmen untuk senantiasa mematuhi seluruh peraturan perundang-undangan yang berlaku, termasuk namun tidak terbatas pada peraturan di bidang Pasar Modal dan Perseroan Terbatas. Kami akan terus memberikan informasi yang transparan dan akurat kepada OJK serta publik seiring dengan perkembangan rencana akuisisi ini. Demikian kami sampaikan penjelasan ini. Kami berharap informasi ini dapat memberikan kejelasan mengenai posisi PT Dharma Polimetal Tbk terkait rencana akuisisi yang telah diumumkan oleh PT Mah Sing Indonesia. Kami siap untuk memberikan informasi tambahan atau klarifikasi lebih lanjut apabila diperlukan. We hereby confirm that PT Dharma Polimetal Tbk is currentiy in the preliminary stage of finalizing the documents and legal process for the acguisition of PT Mah Sing Indonesia as part of the Company's business development and expansion efforts, including to increase revenue and broaden its product portfolio, particularly in plastic comp6nents for four-wheel vehicles (4W). At the present, the terms and conditions of the acguisition documentation are still under negotiation and further review by our Board of Directors of the Company. This process is being carried out in alignment with the interests of the Company and all stakeholders. The proposed price for the acguisition is below the material transaction threshold as stipulated under Regulation of the Financial Services Authority No. 17/POJK.04/2020 concerning Material Transactions and Changes in Business Activities, namely below 2094 (twenty percent) of our Company's eguity. To the best of our knowledge, after reasonable investigation and inguiry, there is no potential conflict of interest as referred to under Regulation of the Financial Services Authority No. 42/POJK.04/2020 concerning Affiliated Transactions and — Conflict of Interest Transactions. We would like to inform you that PT Dharma Polimetal Tbk is committed to consistently complying with all applicable laws and regulations, including but not limited to those in the fields of Capital Markets and Limited Liability Companies. We will continue to provide transparent and accurate information to the OJK and the public in line with the development of this acguisition plan. We hereby submit this explanation. We hope that this information provides clarity regarding the position of PT Dharma Polimetal Tbk in connection with the acguisition plan announced by PT Mah Sing Indonesia.
