Nama Emiten atau Perusahaan Publik PT Personel Alih Daya Tbk Bidang Usaha Penyedia Jasa Outsourcing Telepon (021) 78846742 Alamat surat elektronik (e-mail) corporate.secretary@persada.id website www.persada.id Tanggal kejadian 24 Oktober 2025 2. | Uraian mengenai Transaksi Afiliasi Pada tanggal 24 Oktober 2025, Perseroan dan IST telah menandatangani Perjanjian jual beli aset (“Perjanjian”) nomor: 174/PERSADA/LCC.PKS/X-25 yang merupakan Transaksi Afiliasi berupa jual beli aset berupa generator set (genset). 3. | Hubungan antara Para Pihak Transaksi - Pihak-pihak yang melakukan Transaksi ini adalah : “Perseroan selaku Pembeli aset. "JST selaku Penjual aset. - Sifat hubungan afiliasi antara Perseroan dan JST adalah karena adanya suatu hubungan antara 2 (dua) perusahaan yang dikendalikan oleh Pihak yang sama, dalam hal ini adalah Koperasi Pegawai PT Indosat Tbk (“Kopindosat"). Di Perseroan, Kopindosat memiliki kendali secara langsung dengan kepemilikan sebesar 59,8696 saham, Dan di JST, Kopindosat sebagai pengendali dengan kepemilikan sebesar 809 saham dan Perseroan sebesar 2094 saham. Jaringan Solusi Teknik (IST) - Terdapat 2 (dua) orang Dewan Komisaris Perseroan yang juga menjabat sebagai Dewan Komisaris di JST yaitu Bapak Wahono dan Bapak Baden Saprudin. Penjelasan, pertimbangan dan alasan transaksi dibandingkan dengan jika melakukan transaksi lain yang serupa dengan pihak yang tidak terafiliasi " Transaksi ini dilakukan dengan tujuan untuk efisiensi, efektivitas dan memanfaatkan penggunaan aset dari perusahaan afiliasi bagi kegiatan operational Perseroan (dalam penyediaan perangkat untuk lini bisnis jasa Technical Services). Dan juga untuk mendukung optimalisasi asset idle di IST guna membangun sinergi antara perusahaan afiliasi, Perseroan menyatakan bahwa Transaksi ini telah dilaksanakan sesuai dengan praktik bisnis yang berlaku umum. 5. | Nilai transaksi dan jangka waktu | “ Nilai Transaksi perjanjian ini sebesar Rp1.403.698.958,- (satu perjanjian miliar empat ratus tiga juta enam ratus sembilan puluh delapan ribu sembilan ratus lima puluh delapan rupiah), untuk 122 unit genset. (Catatan: nilai transaksi tersebut belum termasuk PPN). 2. | Details of the Affiliated On October 24, 2025, the Company and JST have signed an
Transaction asset sale and purchase agreement ("Agreement") number:
174/PERSADA/LCC.PKS/X-25 which Is a related party
| transaction in the form of the sale and purchase of assets such
as generators set (genset).
3. | Relationship between the - The parties to this Transaction are:
Parties “The Company as the asset buyer.
" JSTasthe asset seller.
- The nature of the affiliated relationship between the
Company and JST is due to the existence of a relationship
between 2 (two) companies that are controlled by the same
party, in this case is Koperasi Pegawai PT Indosat Tbk
(“Kopindosat”).
In the Company, Kopindosat has direct control with
ownership of 59.864 shares.
And in IST, Kopindosat as the controlling party with
ownership of 809 shares and the Company with 204 shares.

Helping Your Business Grow - There are 2 (two) members of Board of Commissionersof the Company who also serve as Board of Commissioners in IST, namely Mr Wahono and Mr Baden Saprudin. Explanation, consideration and reason for the transaction compared to If executing another similar transaction with unaffiliated party " This transaction was carried out with the aim of increasing efficiency, effectiveness, and utilizing assets from affiliated companies for the Company's operational activities (in providing eguipment for the Technical Services business line). Italso aims to support the Optimization of idle assets at JST to build synergy between affiliated companies. The Company states that this Transaction has been carried out in accordance with generally accepted business practices. Amount value of the transaction and term of agreement The transaction value of this agreement Is Rp1,403,698,958 (one billion four hundred three million six hundred ninety- eight thousand nine hundred fifty-eight rupiah) for 122 units genset. (Note: this value transaction do not include VAT). This transaction is an exempted affiliated transaction based on Article 6 paragraph (1) letter c POJK 42/POJK.04/2020 which does not exceed the amount of Rp5 billion or 0.5 of paid-up capital. The impact for such information or material fact towards operational activities, legal, financial condition or business continuity of Issuer or Public Company Conflict of Interest and Material Transactions This transaction has a positive impact and there is no adverse Impact on the Company's business activities, operational activities, legal, financial condition, business continuity of the Company, and this Transaction increases the synergy between the affiliated companies. “This transaction does not contain a conflict of interest. And this transaction is nota material transaction as referred to in POJK Number 17/POJK.04/2020.
