Jenis Informasi atau Fakta Material Penandatangan Memorandum Of Understanding (MOU)
antara PT Futura Energi Global Tbk (Perseoran) dengan
Zhejiang Energy PV-Tech Co., Ltd dan PT Hypec International
Uraian Informasi atau Fakta Material Perseroan telah menandatangani Nota Kesepakatan (MoU)
pada tanggal 21 Oktober 2025 dengan Zhejiang Energy PV-
Tech Co., Ltd dan PT Hypec International terkait
pengembangan proyek Pembangkit Listrik Tenaga Surya
(PLTS) di Bali sebesar 130 Megawatt (MW).
Bahwa nilai transaksi sebagaimana dimaksud dalam MoU atas
rencana investasi tersebut masih dalam tahap kajian dan
diskusi lebih lanjut antara para pihak.
Bahwa antara Perseroan dengan Zhejiang Energy PV-Tech
Co., Ltd dan PT Hypec International tidak terdapat hubungan
afiliasi dan benturan kepentingan berdasarkan peraturan
perundang-undangan yang berlaku di bidang pasar modal.
Oleh karena itu, pelaksanaan transaksi ini bukan merupakan
transaksi afiliasi dan transaksi yang mengandung benturan
kepentingan sebagaimana dimaksud dalam POJK No.
42/POJK.04/2020 tentang Transaksi Afiliasi dan Transaksi
Benturan Kepentingan.
Dampak kejadian, informasi atau fakta Penandatanganan Nota Kesepahaman (MoU) ini tidak
material tersebut terhadap kegiatan berdampak negatif terhadap kegiatan usaha, kondisi
operasional, hukum, kondisi keuangan, keuangan Perseroan. Melainkan diharapkan menjadi langkah
atau kelangsungan usaha Emiten atau strategis yang berpotensi memperkuat pertumbuhan
Perusahaan Publik pendapatan Perseroan di masa mendatang.

Signing of the Memorandum of Understanding (MOU) between
Type of Material Information or Facts PT Futura Energi Global Tbk (the Company) and Zhejiang
Energy PV-Tech Co., Ltd as well as PT Hypec International.
Description of Material Information or The Company has signed a Memorandum of Understanding
Facts (MoU) on October 21, 2025, with Zhejiang Energy PV-Tech
Co., Ltd and PT Hypec International regarding the
development of a 130 Megawatt (MW) Solar Power Plant
(PLTS) project in Bali.
The transaction value referred to in the MoU for the planned
investment is still under review and further discussion among
the parties.
There is no affiliated relationship or conflict of interest between
the Company and Zhejiang Energy PV-Tech Co., Ltd or PT
Hypec International in accordance with the prevailing capital
market regulations.
Therefore, the implementation of this transaction does not
constitute an affiliated transaction or a conflict-of-interest
transaction as referred to in OJK Regulation No.
42/POJK.04/2020 concerning Affiliated Transactions and
Conflict of Interest Transactions.
Impact of event, material information or The signing of this Memorandum of Understanding (MoU)
facts towards Issuers or Public does not have a negative impact on the Companys business
Company’s operational activities, legal, activities or financial condition. On the contrary, it is expected
financial condition, or going concern to serve as a strategic step that has the potential to strengthen
the Companys revenue growth in the future.
