                                              Report on Material Information or Fact of PT Boston Furniture
 Type of Material Information or Facts        Industries Tbk (the 'Company')

 Description of Material Information or       The Company received information regarding the progress of
 Facts                                        the acquisition plan negotiation of the Company that Hardy
                                              Satya, Yohan Satya, and Dimas Adiyasa Wiryaatmaja as the
                                              current shareholders of the Company (collectively referred to
                                              as the 'Sellers') have signed a Conditional Share Sale and
                                              Purchase Agreement with PT Asia Investment Capital ('Buyer')
                                              dated 17 October 2025 ('CSPA'), in connection with the
                                              proposed sale of the Sellers entire shares in amount of
                                              1.173.500.000 (one billion one hundred seventy three million
                                              five hundred thousand) shares, which represents 70,96%
                                              (seventy point nine six percent) share ownership in the
                                              Company ('Proposed Transaction').

                                              Completion of the CSPA is subject to the satisfaction of all (or
                                              waiver by the Buyer) of the Sellers closing condition to be
                                              satisfied no later than 31 October 2025 or any other date as
                                              may be agreed in writing by the Parties as set out in the CSPA
                                              ('Closing Date').
                                              The Closing Date is the effective date of the Proposed
                                              Transaction where there will be a change in control of the
                                              Company, and the Purchaser will effectively become the
                                              controlling shareholder of the Company.

                                              The Sellers and the Buyer in this Proposed Transaction are
                                              not affiliated parties.
 Impact of event, material information or     The Proposed Transaction is still in process. At this moment,
 facts towards Issuers or Public              the Company is not able to foresee the impact of the above-
 Company’s operational activities, legal,     mentioned material information or facts on its operational
 financial condition, or going concern        activities, legal and financial conditions, or business continuity.




Other Information

We understand that the Buyer will comply with the relevant regulations regarding the Acquisition Plan, including but
not limited to OJK Regulation No.9/POJK.04/2018 on Acquisition of Public Company.
