Perseroan menerima informasi terkait perkembangan
negosasi rencana pengambilalihan Perseroan, bahwa
Hardy Satya, Yohan Satya, dan Dimas Adiyasa
Wiryaatmaja sebagai pemegang saham Perseroan saat
ini (secara bersama-sama disebut sebagai “Para
Penjua?”) telah menandatangani Perjanjian Jual Beli
Saham Bersyarat dengan PT Asia Investment Capital
(“Pembeli”) pada tanggal 17 Oktober 2025 (“PJBS
Bersyarat”) sehubungan dengan rencana penjualan
seluruh saham Para Penjual sejumlah 1.173.500.000
(satu miliar seratus tujuh puluh tiga juta lima ratus ribu)
saham, yang merepresentasikan 70,96Y6 (tujuh puluh
koma sembilan puluh enam persen) kepemilikan saham
dalam Perseroan (“Rencana Transaksi”).

The Company received information regarding the
progress of the acguisition plan negotiation of the
Company that Hardy Satya, Yohan Satya, and Dimas
Adiyasa Wiryaatmaja as the current shareholders of the
Company (collectively referred to as the “Sellers”) have
signed a Conditional Share Sale and Purchase
Agreement with PT Asia Investment Capital (“Buyer”)
dated 17 October 2025 (“CSPA”), in connection with
the proposed sale of the Sellers' entire shares in amount
Of 1.173.500.000 (one billion one hundred seventy three
million five hundred thousand) shares, which represents
70,966 (seventy point nine six percent) share ownership
in the Company (“Proposed Transaction”).

pemenuhan atas seluruh (atau dikesampingkan oleh
Pembeli) prasyarat penutupan oleh Para Penjual yang
wajib dipenuhi paling lambat pada tanggal 31 Oktober
2025 atau setiap tanggal lainnya sebagaimana yang
mungkin disetujui secara tertulis oleh Para Pihak
sebagaimana diatur dalam PJBS Bersyarat (“Tanggal
Penutupan”). Tanggal Penutupan merupakan tanggal
efektif dari Rencana Transaksi dimana akan ada terjadi
perubahan pengendali Perseroan, dan Pembeli akan
efektif menjadi pemegang saham pengendali Perseroan.

Completion of the CSPA is subject to the satisfaction of
all (or waiver by the Buyer) of the Sellers' closing
condition to be satisfied no later than 31 October 2025
or any other date as may be agreed in writing by the
Parties as set out in the CSPA (“Closing Date”).
The Closing Date is the effective date of the Proposed
Transaction where there will be a change in control of
the Company, and the Purchaser will effectively become
the controlling shareholder of the Company.

are not affiliated parties.

operasional, hukum, kondisi keuangan atau
kelangsungan usaha Perseroan.

relevant regulations regarding the Acguisition Plan,
including but not limited to OJK Regulation No.
9/POJK.04/2018 on Acguisition of Public Company.

Dalam hal
informasi yang diumumkan dalam Bahasa Inggris
dan Bahasa Indonesia, maka informasi yang
digunakan sebagai acuan adalah informasi dalam
Bahasa Indonesia.
