Uraian Informasi atau Fakta Material Dewan Komisaris PT Solusi Bangun Indonesia Tbk
(Perseroan) menandatangani Keputusan Sirkuler Dewan
Komisaris Perseroan tanggal 15 Oktober 2025, yang antara
lain memutuskan bahwa:
-Dalam rangka:
a. Memastikan keberlangsungan operasional Perseroan
sehari-sehari.
b. Memberikan kepastian kepemimpinan dalam
organisasi Perseroan.
-Merujuk pada Pasal 11 ayat 20 huruf a, Pasal 11 ayat 27, dan
Pasal 15 ayat 2 huruf a.7 Anggaran Dasar SBI dan
menimbang hal tersebut diatas:
a. Memberhentikan sementara Sdr. Ainul Yaqin dari
jabatannya sebagai Direktur Utama SBI terhitung sejak 17
Oktober 2025, dengan alasan yang mendesak bagi SBI
sehubungan dengan surat pengunduran diri Sdr. Ainul Yaqin
dan untuk memastikan keberlangsungan operasional dan
memberikan kepastian kepemimpinan.
b. Menunjuk Sdr. Asruddin sebagai Pelaksana Tugas Direktur
Utama sekaligus merangkap Direktur Keuangan dan
Manajemen Risiko Perseroan.
c. Penunjukan Pelaksana Tugas Direktur Utama tersebut
adalah terhitung sejak 17 Oktober 2025 sampai dengan
selesai dilaksanakannya agenda RUPSLB Perseroan terdekat
tentang Perubahan Pengurus Perseroan dalam hal ini Direktur
Utama.

Description of Material Information or The Board of Commissioners of PT Solusi Bangun Indonesia
Facts Tbk (the Company) signed the Circular Decision of the
Company Board of Commissioners dated 15 October 2025,
which among other things decided that:
-In order to:
a. Ensure the continuity of the company day-to-day
operations.
b. Assure certainty of leadership within the organization.
-Pursuant to Article 11 clause 20 letter a, Article 11 clause 27,
and Article 15 clause 2 letter a.7 SBI Article of Association and
considering the above situation, it is deemed necessary to:
a. Temporarily dismiss Mr. Ainul Yaqin from his position as
President Director of SBI effective from 17 October 2025, due
to the urgent need in connection with Mr. Ainul Yaqin
resignation letter and to safeguard operational continuity and
ensure leadership certainty.
b. Appoint Mr. Asruddin as Acting President Director and
concurrently Director of Finance and Risk Management of the
Company.
c. Such appointment of the Acting President Director is
effective from 17 October 2025 until the completion of the
agenda of the nearest EGMS of the Company concerning
Changes in the Company Management, in this case the
President Director.
