Berdasarkan Akta Pernyataan Keputusan Para Pemegang Saham PT Pratama Satya Prima (selaku anak perusahaan Perseroan dan disebut sebagai “PSP”) No. 91 tanggal 15 Oktober 2025 yang dibuat dihadapan Elizabeth Karina Leonita, S.H., M.Kn., Notaris di Jakarta Selatan, sebagaimana telah disetujui oleh Menteri Hukum berdasarkan Surat Keputusan No. AHU-0070125.AH.01.02.TAHUN 2025 tanggal 15 Oktober 2025, serta telah didaftarkan pada Daftar Perseroan No. AHU-0242418.AH.O1.11.TAHUN 2025 tanggal 15 Oktober 2025 (“Akta PSP”), PSP telah melakukan penyesuaian kegiatan usaha untuk disesuaikan dengan ketentuan kelompok bidang usaha sebagaimana dimuat dalam Peraturan klasifikasi baku lapangan usaha, dalam rangka memenuhi ketentuan peraturan tentang pelayanan perizinan berusaha terintegrasi secara elektronik, serta penambahan kegiatan usaha baru. Adapun penambahan kegiatan usaha PSP adalah dengan KBLI sebagai berikut: The addition of PSP business activities are with the Jollowing KBLI details: 1. Pengelolaan Sampah / Waste Management: a. 38211 — Treatment dan Pembuangan Sampah Tidak Berbahaya / Treatment and Disposal of Non-Hazardous Waste b. 38212 — Produksi Kompos Sampah Organik / Organic Waste Compost Production c. 38301 — Pemulihan Material Barang Logam / Metal Material Recovery d. 38302 — Pemulihan Material Barang Bukan Logam / Recovery of Non-Metallic Materials 2. Pembangkit Listrik / Power Plants: a. 35111 — Pembangkit Tenaga Listrik / Power Plant b. 35112 — Transmisi Tenaga Listrik / Electric Power Transmission c. 35116— Pembangkit, Transmisi, dan Penjualan Tenaga Listrik dalam Satu Kesatuan Usaha / Generation, Transmission, and of Elecrricity in One Business Unit Sales Dengan adanya kegiatan usaha baru yang ditambahkan tersebut, tidak menghentikan kegiatan usaha yang sekarang dijalankan oleh Perseroan dan juga PSP akan tetap beroperasi secara normal. Pada saat ini, Perseroan tidak dapat memastikan dampak informasi dan fakta material tersebut di atas terhadap kegiatan operasional, hukum, kondisi keuangan atau kelangsungan usaha Perseroan. At this moment, the Company is not able to foresee the impact of the above-mentioned material information or facts on its operational activities, legal and financial conditions, or business continuity. Berdasarkan laporan keuangan konsolidasi tahunan Perseroan per 31 Desember 2024, PSP memberikan kontribusi pendapatan di bawah 20Y6 (dua puluh persen) dari pendapatan Perseroan. Dengan demikian, sesuai dengan Pasal 32 Peraturan OJK No. 17/POJK.04/2020 tentang Transaksi Material dan Perubahan Kegiatan Usaha (“POJK No. 17/2026”), Perseroan tidak wajib memenuhi ketentuan — menggunakan penilai, keterbukaan informasi, penyampaian informasi, atau persetujuan RUPS sebagaimana diatur dalam POJK No. 17/2020. Based on the Company's annual consolidated financial report as af December 31, 2024, PSP contributed less than 2046 (twenty percent) of the Company's revenue. Therefore, in accordance with Article 32 of OJK Regulation No. 17/POJK.04/2020 concerning Material Transactions and Changes in Business Activities (“POJK No. 17/2020”), the Company is not reguired to comply with the provisions regarding the use of appraisers, information disclosure, — information submission, or GMS approval as stipulated in POJK No. 17/2020. Tidak terdapat informasi/fakta/kejadian penting lainnya yang material yang dapat mempengaruhi harga efek Perseroan serta kelangsungan usaha Perseroan yang belum diungkapkan kepada Publik.
