PT. Bank HSBC Indonesia
Uraian Informasi atau Fakta Material Berdasarkan Perjanjian Fasilitas, HSBC memberikan fasilitas
pinjaman kepada Perseroan dan anak perusahaannya dengan
nilai maksimum sebesar Rp. 350.000.000.000 (tiga ratus lima
puluh miliar Rupiah). Fasilitas tersebut terdiri dari: (i) Kredit
Berdokumen (DC); (ii) Kredit Berdokumen dengan
Pembayaran Tertunda/Berjangka (DPC); (iii) Pinjaman Impor
(Pinjaman Pembeli Setelah Pengapalan); (iv) Pinjaman Impor
(Pinjaman Pembeli Setelah Pengapalan) 1; dan (v) Bank
Garansi/Surat Kredit Berdokumen Siaga, yang dapat
digunakan oleh Debitur sesuai kebutuhan dan berdasarkan
ketentuan dalam Perjanjian Fasilitas.
Dampak kejadian, informasi atau fakta Transaksi ini akan memberikan tambahan fleksibilitas
material tersebut terhadap kegiatan keuangan bagi Perseroan dan anak perusahaannya untuk
operasional, hukum, kondisi keuangan, mendukung kebutuhan modal kerja dan kas operasional
atau kelangsungan usaha Emiten atau Perseroan maupun anak perusahaannya. Perseroan serta
Perusahaan Publik anak perusahaannya memiliki fleksibilitas untuk menarik
sebagian atau seluruh fasilitas kredit sesuai dengan
kebutuhan

The Execution of the Corporate Banking Facility Agreement by
Type of Material Information or Facts PT Soho Global Health Tbk., PT Soho Industri Pharmasi, and
PT Parit Padang Global with PT Bank HSBC Indonesia
Description of Material Information or Based on the Facility Agreement, HSBC provides loan facilities
Facts to the Company and its subsidiaries with a maximum amount
of IDR 350,000,000,000 (three hundred fifty billion Rupiah).
The facilities consist of: (i) Documentary Credit (DC); (ii)
Deferred Payment Credit (DPC); (iii) Clean Import Loan (Post-
shipment Buyer Loan); (iv) Clean Import Loan (Post-shipment
Buyer Loan) 1; and (v) Guarantee/Stand-By Letter of Credit,
which may be utilized by the Borrower as required and in
accordance with the terms and conditions of the Facility
Agreement.
Impact of event, material information or This Transaction will provide additional financial flexibility for
facts towards Issuers or Public the Company and its subsidiaries to support the working
Company’s operational activities, legal, capital and operational cash needs of the Company as well as
financial condition, or going concern its subsidiaries. The Company and its subsidiaries shall have
the flexibility to draw down part or all of the credit facility as
required.
