Uraian Informasi atau Fakta Material Pada tanggal 10 Oktober 2025, PT Volta Daya Energi
Indonesia (VDEI), anak perusahaan yang secara tidak
langsung dimiliki 100% oleh Perseroan, telah menandatangani
Akta Jual Beli Saham No.14 tanggal 10 Oktober 2025 dibuat
oleh Notaris Ungke Mulawati SH., MKn., Notaris di Jakarta
Timur; sehubungan dengan penyelesaian akuisisi atas 9.000
(sembilan ribu) lembar saham atau 90% saham di dalam GDI
(Transaksi).
GDI akan mengembangkan proyek pembangkit listrik
berkapasitas 680 MW di kawasan industri terintegrasi Feni
Haltim (FHT) Industrial Park, Halmahera Timur, Maluku Utara.
Dengan selesainya Transaksi, maka Perseroan akan menjadi
pemegang saham atas 90% di dalam GDI.
Dampak kejadian, informasi atau fakta Dengan selesainya Transaksi, maka Perseroan akan menjadi
material tersebut terhadap kegiatan pemegang saham secara tidak langsung atas 90 persen
operasional, hukum, kondisi keuangan, saham di dalam PT Guna Darma Integra.

kepada para pemangku kepentingan Perseroan di masa
mendatang.

Announcement of completion of share purchases by

Description of Material Information or On 10 October 2025, PT Volta Daya Energi Indonesia (VDEI),
Facts a subsidiary that is indirectly 100% owned by the Company,
has signed Deed of Sale and Purchase of Shares No.14 dated
10th October 2025 made before Ungke Mulawati SH., MKn.,
Notary in East Jakarta; in relation to completion of the
acquisition of 9,000 (nine thousand) shares or 90% shares in
the capital of GDI (Transaction).
GDI will develop a 680 MW power plant project in the
integrated industrial area of Feni Haltim (FHT) Industrial Park,
East Halmahera, North Maluku.
Upon completion of the Transaction, the Company will become
the holder of 90% directly in GDI.
