3. Uraian Informasi : Perseroan menerima pemberitahuan tertulis dari Pembeli pada tanggal
atau Fakta Material 1 Oktober 2025 (“Pemberitahuan”) bahwa pada tanggal 30 September

1 October 2025 (“Notification”) that on 30 September 2025, the Purchaser
has completed the acquisition of 5,764,371,329 shares or representing
approximately 83.67% of the issued and paid-up capital of the Company

Oleh karenanya, pada 30 September 2025, Pembeli telah menjadi
pengendali baru Perseroan sebagaimana dimaksud dalam ketentuan
Pasal 1 ayat (4) Peraturan OJK Nomor 9/POJK.04/2018 tentang
Pengambilalihan Perusahaan Terbuka (“POJK 9/2018”).

Berdasarkan Pemberitahuan, sebagai pengendali baru Perseroan,
Pembeli akan melakukan Penawaran Tender Wajib sebagaimana
diwajibkan oleh POJK 9/2018. Informasi lebih lanjut mengenai
pelaksanaan Penawaran Tender Wajib tersebut akan diumumkan kepada
masyarakat dengan memperhatikan ketentuan dalam POJK 9/2018.
Therefore, on 30 September 2025, the Purchaser became new controller
of the Company as referred in Article 1 paragraph 4 of OJK Regulation No.
9/POJK.04/2018 regarding Acquisition of Public Companies (“OJK
Regulation 9/2018”).
According to the Notification, as the new controller of the Company, the
Purchaser will conduct a Mandatory Tender Offer as required by OJK
Regulation 9/2018. Further information regarding the implementation of the
Mandatory Tender Offer will be announced to the public in accordance with
the provisions of OJK Regulation 9/2018.
