Transfer of Buyback Shares
PT Tower Bersama Infrastructure Tbk (“The Company”)
During the period from May 4, 2023 to August 3, 2023, the Company has conducted shares
buyback of the Company's shares amounting to 102,046,000 shares, based on the Financial
Services Authority ("OJK") Regulation No. 2/POJK.04/2013 regarding the Buyback of Shares Issued
by an Issuer or Public Company in Significantly Fluctuating Market Conditions ("POJK No.
2/POJK.04/2013") in conjunction with OJK Circular Letter No. 3/SEOJK.04/2020 regarding Other
Conditions as Significant Fluctuating Market Conditions in the Implementation of the Buyback of
Shares Issued by an Issuer or Public Company ("SEOJK No. 3/SEOJK.04/2020"). On September 4
dan 6, 2023, the Company has sold 81,585,300 shares, hence there are remaining 20,460,700
shares from this buyback period.
During the period from May 31, 2024 to May 30, 2025, the Company has conducted shares
buyback of the Company's shares amounting to 329,869,700 shares, based on the Financial
Services Authority ("OJK") Regulation No. 2 Year 2023 regarding the Buyback of Shares Issued by
a Public Company ("POJK No. 29/2023”).
Therefore, as at the date of this Information Disclosure, the Company has total of 350,330,400
treasury shares ("Buyback Shares").
In accordance with Article 35 of POJK No.29/2023, the Company is obliged to provide information
disclosure to the public and submit evidence of announcements and supporting documents tothe
OJK no laterthan S5 (five) business days before the implementation of the sale of Buyback Shares.
Accordingly, it is hereby conveyed that the Company intends to sell the Buyback Shares through
off-exchange trading via negotiated market in accordance with Article 35 paragraph 4 of POJK No.
29/2023, with the following details:

NN, Tower Z BERSAMA AN sroup The execution price of the sale of the Buyback Shares will be based on Article 32 letter (a) of POJK No. 29/2023 where the transfer price of the Buyback Shares must not be lowerthan whichever is higher amongst: a) The closing price of the daily trading on Stock Exchange 1 (one) day before the date of sale of the Buyback Shares, or b) The average price from the closing prices of daily trading on the Stock Exchange for the last 90 (ninety) days before the date of sale of the Buyback Shares by the Company, with a maximum discount of 7.58 (seven point five percent).
