THE INFORMATION AS SET FORTH IN THIS DISCLOSURE INFORMATION ("DISCLOSURE
INFORMATION") IS IMPORTANT AND NEEDS TO BE CONSIDERED BY THE PUBLIC SHAREHOLDERS
OF PT MSIG LIFE INSURANCE INDONESIA TBK ("THE COMPANY") IN CONNECTION WITH THE
COMPANY'S PLAN TO SEPARATE THE COMPANY'S SHARIA BUSINESS UNITS ("UUS") INTO A NEW
SHARIA INSURANCE COMPANY ("PAS")
THE DISCLOSURE OF INFORMATION IS SUBMITTED BY THE COMPANY IN ORDER TO COMPLY WITH
THE FOLLOWING PROVISIONS: (A) FINANCIAL SERVICES AUTHORITY REGULATION ("POJK")
NUMBER 17/POJK.04/2020 CONCERNING MATERIAL TRANSACTIONS AND CHANGES IN BUSINESS
ACTIVITIES ("POJK 17/2020"); AND (B) POJK NUMBER 42/POJK.04/2020 CONCERNING AFFILIATE
TRANSACTIONS AND CONFLICTS OF INTEREST TRANSACTIONS ("POJK 42/2020").

I. INTRODUCTION
The information as stated in the Disclosure Information is submitted to the public so that the
public could receive information about material transactions and affiliate transactions in
connection with the separation/spin-off of the Company's UUS carried out by the Company by
establishing a new sharia insurance company as mandated in Law No. 40 of 2014 concerning
Insurance ("Law No.40/2014"), especially Article 87 as last amended by Law No. 4 of 2023
concerning the Development and Strengthening of the Financial Sector ("PPSK Law"), Financial
Services Authority Regulation (POJK) No. 11 of 2023 concerning the Separation of Sharia Units of
Insurance Companies and Reinsurance Companies ("POJK 11/2023"), and incorporating all rights
and obligations of UUS into the new sharia insurance company as part of the Company's capital
contribution into the new sharia insurance company, which is effective after obtaining a business
license from the Financial Services Authority (OJK) and has started operational activities.
The establishment of a new sharia insurance company, established under the name PT MSIG Sharia
Life Insurance Indonesia, is stipulated in the Company's Deed of Establishment No. 44 dated
September 23, 2025 drawn before Notary Hadijah, S.H., Notary in the Central Jakarta
Administrative City.
PT MSIG Sharia Life Insurance Indonesia was established by separating the Company's UUS and
incorporating it into PT MSIG Sharia Life Insurance Indonesia by referring to Law No. 40/2014 and
its implementing regulations, as stipulated in the Deed of Separation of the Company's UUS No.
45 dated September 23, 2025 drawn before Notary Hadijah, S.H., Notary in the Central Jakarta
Administrative City.
Transactions carried out by the Company by separating UUS within the Company and incorporating
it into PT MSIG Sharia Life Insurance Indonesia are not Material Transactions, but there are changes
in Business Activities and also categorized as Affiliate Transactions and therefore subject to POJK
No. 17/2020 and POJK No. 42/2020, the disclosure of which has been reported to the OJK dated
September 25, 2025.
Through the separation of UUS, the Company will no longer carry out sharia business activities,
and subsequently changes will be made to Article 3 concerning Business Activities and Article 20
concerning the Sharia Supervisory Board from the Company's Articles of Association.
II.
DESCRIPTION OF CHANGES IN BUSINESS ACTIVITIES AND AFFILIATE
TRANSACTIONS
A. CHANGES IN BUSINESS ACTIVITIES
1. With the separation of UUS, the Company will no longer carry out sharia business activities,
and subsequently changes will be made to Article 3 concerning Business Activities and
Article 20 concerning the Sharia Supervisory Board from the Company's Articles of
Association.
2. That the plan to change Business Activities as mentioned above has been announced to
shareholders at the same time as the announcement of the GMS.
3. That data on changes in Business Activities has been provided to shareholders since the
announcement of the GMS and the disclosure of such information has been submitted to
OJK.
4. That the change in Business Activities is a reduction of Business Activities which will not
affect the Company's business continuity.
5. That the change in Business Activities is a mandate of Law No.40/2014 as amended by
PPSK Law.
6. That the change in Business Activities will be effective after PT MSIG Sharia Life Insurance
Indonesia obtains a business license from the OJK and starts running its operations.

B. AFFILIATE TRANSACTIONS AND CONFLICTS OF INTEREST TRANSACTIONS
1. TRANSACTION OBJECT
The object of the Affiliate Transaction is a transaction in connection with the
establishment of PT MSIG Sharia Life Insurance Indonesia which has been approved by the
Company's GMS on September 23, 2025.
2. TRANSACTION VALUE
One of the founding shareholders of PT MSIG Sharia Life Insurance Indonesia is the
Company at 99.99% of the shares and a total of Rp49,995,000 which comes from capital
deposits in cash from the Company. Thus, this transaction is an Affiliate Transaction,
because there is a relationship between the Company as a shareholder who controls PT
MSIG Sharia Life Insurance Indonesia.
The total authorized capital and paid-up capital in PT MSIG Sharia Life Insurance Indonesia
are as follows:

3. PARTIES MAKING TRANSACTIONS
The parties who made the transaction were the Company and PT MSIG Sharia Life
Insurance Indonesia. There is no difference between the economic interests of the
Company and the personal economic interests of members of the board of directors,
members of the board of commissioners, major shareholders or controllers that may be
detrimental to the Company. Therefore, there is no conflict of interest in this transaction.
4. EXPLANATION OF AFFILIATE TRANSACTIONS
The Affiliate Transaction was carried out in the context of the Separation of the Company's
UUS by establishing a new sharia insurance company as a result of the separation called PT
MSIG Sharia Life Insurance Indonesia as a fulfilment and implementation of laws and
regulations, namely Law No.40/2014 as amended by the PPSK Law. Therefore, it is exempt
from the obligation to use the Appraiser to determine fair value.
III. STATEMENT OF THE BOARD OF DIRECTORS
1. The Board of Directors stated that the transaction in the context of the UUS Separation
does not consider as Material Transactions as referred to in POJK 17/2020, because the
transaction value is less than 20% (twenty percent) of the Company's equity.
2. However, transactions in the context of the UUS Separation is categorize as Affiliate
Transactions based on POJK 42/2020. There is no Conflict of Interest in this transaction.
3. All material information has been disclosed and the information is not misleading.
