Perseroan menerima informasi negosiasi pengambilalihan bahwa Hendro Jap dan Hieo Mie Tjen sebagai pemegang saham Perseroan saat ini (secara bersama-sama disebut sebagai “Penjual”) telah menandatangani Perjanjian Jual Beli Saham Bersyarat dengan PT Olive Power Invest (“Olive”), PT Motif Investasi Indonesia (“MIT”), PT Pacific Prima Permata (“PPP”) (Olive, MII dan PPP untuk selanjutnya secara bersama-sama disebut sebagai “Pembeli”) pada tanggal 17 September 2025 (“PJBSB”), sehubungan dengan rencana penjualan saham Penjual sejumlah 1.480.157.112 (satu miliar empat ratus delapan puluh juta seratus lima puluh tujuh ribu seratus dua belas) saham, yang merepresentasikan 77,996 (tujuh puluh tujuh koma sembilan persen) kepemilikan saham dalam Perseroan (“Rencana Transaksi”). The Company received information regarding the acguisition negotiation that Hendro Jap and Hieo Mie Tjen as the current shareholders of the Company (collectively referred to as the “Seller”) have signed a Conditional Share Sale and Purchase Agreement with PT Olive Power Invest (“Olive”), PT Motif Investasi Indonesia (“MHI”), PT Pacific Prima Permata (“PPP”) (Olive, MII dan PPP hereinafter are collectively referred 10 as the “Buyer”) on 17 September 2025 (“CSPA”), in connection with the proposed sale of the Seller's shares in amount of 1,480,157,112 (one billion four hundred eighty million one hundred fifty seven one thousand one hundred twelve) shares, which represents 77,946 (seventy seven percent point nine) share ownership in the Company (“Proposed Transaction”). Pada Akusisisi Tahap Pertama: MII akan membeli sebanyak 95.000.000 (sembilan puluh lima juta) saham dari Hendro Jap, dan PPP akan membeli sebanyak 95.000.000 (sembilan puluh lima juta) saham dari Hendro Jap (“Akuisisi Tahap Pertama”), dan b. Pada Akuisisi Tahap Kedua: Olive akan membeli sebanyak 1.290.157.112 (satu miliar dua ratus sembilan puluh juta seratus lima puluh tujuh ribu seratus dua belas) saham dari Hendro Jap dan Hieo Mie Tjen (“Akuisisi Tahap Kedua”). Based on the CSPA, the Buyer will purchase ihe Seller's shares in two stages: @. In the First Acguisition Phase: MII will purchase 95,000,000 (ninety-five million) shares from Hendro Jap, and PPP will purchase 95,000,000 (ninety-five million) shares from Hendro Jap (“First Phase Acguisition”): and b. In ihe Second Acguisition Phase: Olive will purchase 1,290,157,112 (one billion two hundred ninety million one hundred fifty-seven thousand one hundred and twelve) shares from Hendro Jap and Hieo Mie Tjen (“Second Phase Acguisition”). Periode Persyaratan terhitung sejak tanggal penandatanganan PJBSB sampai dengan 50 (lima puluh) hari kalender setelahnya, atau jangka waktu lain yang disepakati secara tertulis oleh Penjual dan Pembeli, yang digunakan untuk pemenuhan seluruh Persyaratan (kecuali dikesampingkan oleh Pembeli) sebagaimana diatur dalam PJBSB. Completion of the Second Phase Acguisition is subject to the satisfaction of all (or waiver by the Buyer) of the Sellers's conditions to be satisfied no later than the Completion Date as set out in the CSPA. The Conditions Period is calculated from the date of signing of CSPA until 50 (fify) calendar days thereafier, or another period agreed in writing by the Seller and the Buyer. which is used to fulfill all Conditions (unless waived by the Buyer) as stipulated in the CSPA.
