Uraian Informasi atau Fakta Material Pada tanggal 09 September 2025, perusahaan terkendali dari
Perseroan, yaitu PT Energi Batubara Indonesia (EBI) telah
menyelesaikan pembelian atas 850 (delapan ratus lima puluh)
lembar saham dalam PT Korporindo Guna Bara (KGB),
sesama perusahaan terkendali dari Perseroan, yang mewakili
sekitar 4.6% (empat koma enam persen) dari total modal yang
disetor dan ditempatkan dalam KGB.
Transaksi jual beli saham dalam KGB tersebut diselesaikan
oleh EBI dengan PT Dian Ciptamas Agung, selaku penjual,
dengan harga Rp1.000.000,- (satu juta Rupiah) per lembar
saham, dan dengan total nilai pembelian sebesar Rp
850.000.000 (delapan ratus lima puluh juta Rupiah), sehingga
EBI memiliki 18.361 (delapan belas ribu tiga ratus enam puluh
satu), yang mewakili 99.2% (sembilan puluh sembilan koma
dua persen) saham pada KGB.
EBI sekaligus meningkatkan modal dasar dan modal
ditempatkan pada KGB sebesar Rp 26.000.000.000,- (dua
puluh enam milyar Rupiah), sehingga modal dasar dan modal
ditempatkan KGB menjadi Rp Rp44.513.000.000,- (empat
puluh empat miliar lima ratus tiga belas juta Rupiah) serta
kepemilikan EBI pada KGB menjadi 44.361 (empat puluh
empat ribu tiga ratus enam puluh satu) lembar saham atau
setara dengan 99,7% (sembilan puluh sembilan koma tujuh
persen).
Transaksi-transaksi ini bukan merupakan transaksi material
berdasarkan Peraturan Otoritas Jasa Keuangan No.
17/POJK.04/2020 tentang Transaksi Material dan Perubahan
Kegiatan Usaha, karena tidak mencapai 10% (sepuluh persen)
total aset Perseroan, serta dikecualikan dari kewajiban
melakukan prosedur sebagaimana dimaksud dalam Pasal 3
dan Pasal 4 ayat (1) Peraturan Otoritas Jasa Keuangan No.
42/POJK.04/2020 tentang Transaksi Afiliasi dan Transaksi
Benturan Kepentingan, karena dilakukan sesama perusahaan
terkendali dari Perseroan.

Affiliate Transactions, purchase of shares in controlled
Type of Material Information or Facts companies, and increase in issued and paid-up capital in
controlled companies.
Description of Material Information or On September 9, 2025, PT Energi Batubara Indonesia (EBI), a
Facts controlled company of the Company, completed the purchase
of 850 (eight hundred and fifty) shares in PT Korporindo Guna
Bara (KGB), a fellow controlled company of the Company,
representing approximately 4.6% (four point six percent) of the
total paid-up and issued capital of KGB.
The sale and purchase transaction of the KGB shares was
completed by EBI with PT Dian Ciptamas Agung, the seller, at
a price of IDR 1,000,000 (one million Rupiah) per share, with a
total purchase value of IDR 850,000,000 (eight hundred and
fifty million Rupiah), resulting in EBI owning 18,361 (eighteen
thousand three hundred and sixty-one) shares, representing
99.2% (ninety-nine point two percent) of KGB shares.
EBI simultaneously increased its authorized and issued capital
in KGB by Rp 26,000,000,000 (twenty-six billion Rupiah),
bringing the authorized and issued capital of KGB to Rp
44,513,000,000 (forty-four billion five hundred and thirteen
million Rupiah), and EBI's ownership in KGB to 44,361 (forty-
four thousand three hundred and sixty-one) shares, equivalent
to 99.7% (ninety-nine point seven percent).
These transactions are not material transactions under
Financial Services Authority Regulation No. 17/POJK.04/2020
concerning Material Transactions and Changes in Business
Activities, as they do not constitute 10% (ten percent) of the
Company's total assets, and are exempt from the obligation to
carry out the procedures referred to in Article 3 and Article 4
paragraph (1) of Financial Services Authority Regulation No.
42/POJK.04/2020 concerning Affiliate Transactions and
Conflict of Interest Transactions, because they are carried out
by fellow companies controlled by the Company.
