Nama Emiten atau Perusahaan Publik PT Personel Alih Daya Tbk Bidang Usaha Penyedia Jasa Outsourcing Telepon (021) 78846742 Alamat surat elektronik (e-mail) corporate.secretary@persada.id website www.persada.id 1. | Tanggal kejadian 8 September 2025 2. | Uraian mengenai Transaksi Afiliasi Pada tanggal 8 September 2025, Perseroan dan Kopindosat telah menandatangani Perjanjian Kerjasama (“Perjanjian”) No. 117/PERSADA/LCC.PKS/IX-25 yang merupakan Transaksi Afiliasi berupa kerjasama pengadaan jasa Managed Service di bidang pengadaan jasa pemasangan perangkat, infrastruktur | jaringan telekomunikasi dan layanan lainnya, yang merupakan | kegiatan usaha atau operational Perseroan yang dijalankan dalam rangka menghasilkan pendapatan usaha Perseroan. 3. | Hubungan antara Para Pihak Transaksi - Pihak-pihak yang melakukan Transaksi ini adalah : " Perseroan selaku Pemberi Project (atau penerima layanan jasa Managed Services dari Kopindosat) " Kopindosat selaku Penerima Project (atau pemberi layanan jasa Managed Services kepada Perseroan) - Sifat hubungan afiliasi antara Perseroan dan Kopindosat adalah Kopindosat sebagai Pemegang Saham Utama atau Pengendali dengan kepemilikan sebesar 59,86X saham atas Perseroan. Mess 0 Helping Your Business Grow MASYARAKAT SIGIT (PUBLIK KUNTJAHJO KORNO 28,571 11,574 59,861 PT Personel Alih Daya Tbk - Terdapat 3 (tiga) orang Dewan Komisaris Perseroan yang juga menjabat sebagai Pengurus di Kopindosat yaitu Bapak Wahono, Bapak Baden Saprudin dan Bapak Sigit Kuntjahjo. Penjelasan, pertimbangan dan alasan transaksi dibandingkan dengan jika melakukan transaksi lain yang serupa dengan pihak yang tidak terafiliasi Transaksi ini dilakukan dengan tujuan guna mendukung kegiatan usaha operasional Perseroan di lini Bisnis Unit Technical Services, yang dijalankan dalam rangka menghasilkan dan meningkatkan pendapatan usaha Perseroan, serta dalam rangka membangun dan mewujudkan sinergi antara perusahaan afiliasi. Transaksi ini telah dilaksanakan sesuai dengan praktik bisnis yang berlaku umum. Nilai transaksi dan jangka waktu perjanjian Nilai Transaksi Perjanjian ini sebesar Rp2.600.000.000,- (dua miliar enam ratus juta rupiah) untuk periode 3 (tiga) bulan dari Juli — September 2025. Transaksi ini merupakan Transaksi afiliasi yang dikecualikan berdasarkan Pasal 6 ayat (1) huruf c POJK No.42/POJK.04/ 2020 dimana tidak melebihi jumlah Rp5 miliar atau 0,596 dari modal disetor, dan Transaksi afiliasi ini merupakan transaksi kegiatan usaha yang dijalankan dalam rangka menghasilkan pendapatan usaha Perseroan berdasarkan Pasal 8 POJK No.42/POJK.04/2020. Dampak kejadian, informasi atau fakta material tersebut terhadap kegiatan operasional, hukum, kondisi keuangan atau kelangsungan usaha Emiten atau Perusahaan Publik Transaksi ini berdampak positif dan tidak ada dampak yang merugikan terhadap kegiatan usaha Perseroan, kegiatan Operasional, hukum, kondisi keuangan maupun kelangsungan usaha Perusahaan. Benturan Kepentingan dan Transaksi Material Transaksi ini tidak mengandung benturan kepentingan. Dan transaksi ini bukan merupakan transaksi material sebagaimana dimaksud dalam POJK No.17/POJK.04/2020. Pernyataan Direksi dan Dewan Komisaris Perseroan telah mengungkapkan informasi yang wajib diketahui dalam laporan ini dan tidak mengandung informasi yang tidak benar atau menyesatkan. Explanation, consideration and reason for the transaction compared to if executing another similar transaction with unaffiliated party This transaction was carried out with the aim of supporting the Company's operational business activities in the business unit of Technical Services, which is carried out in order to generate and increase the Company's business income or revenue, as well as in order to build and realize synergies between affiliated companies. " This transaction has been carried out in accordance with generally accepted business practices. Amount value of the transaction and term of agreement The transaction value of this agreement is Rp2,600,000,000,- (two billion six hundred million rupiah) for a period of 3 (three) months from July - September 2025. This transaction is an exempted affiliated transaction based on Article 6 paragraph (1) letter c POJK No.42 / POJK.04 / 2020 which does not exceed the amount of Rp5 billion or 0.54 of paid-up capital, and this affiliated transaction is a business activity transaction carried out in order to generate the Company's business income based on Article 8 POJK No.42/POJK.04 /2020. The impact for such information or material fact towards operational activities, legal, financial condition or business continuity of Issuer or Public Company This transaction has a positive impact and there is no adverse impact on the Company's business activities, operational activities, legal, financial condition or business continuity. Conflict of Interest and Material Transactions This transaction does not contain a conflict of interest. And this transaction is not a material transaction as referred to in POJK No.17/POJK.04/2020.
