Uraian Informasi atau Fakta Material Pada tanggal 4 September 2025, Perseroan, melalui PT
Tripatra Engineering ("TPE") dan PT Tripatra Multi Energi
("TIME"), telah membentuk satu anak usaha baru yaitu PT
Tripatra Bioenergi Angkasa ("TBA"), sesuai dengan akta No.
33 tanggal 4 September 2025 yang dibuat oleh Notaris Jimmy
Tanal, S.H., M.Kn., Notaris di Jakarta Selatan, dan yang telah
mendapat pengesahan pendirian dari Kementerian Hukum No.
AHU-0075833.AH.01.01.TAHUN 2025 tanggal 4 September
2025.
TBA akan melakukan kegiatan usaha di bidang Industri Kimia
Dasar Organik Yang Bersumber dari Hasil Pertanian (KBLI
20115).
TPE dan TIME merupakan anak-anak perusahaan Perseroan
di mana lebih dari 99% sahamnya dimiliki, baik secara
langsung maupun tidak langsung, oleh Perseroan.
Keterangan mengenai struktur kepemilikan modal TBA adalah
sebagai berikut:

material tersebut terhadap kegiatan memiliki anak usaha baru yang laporan keuangannya akan
operasional, hukum, kondisi keuangan, terkonsolidasi.

Perusahaan Publik operasional, hukum, kondisi keuangan, atau kelangsungan

Perseroan berkeyakinan bahwa pembentukan ini dilakukan
sesuai dengan strategi bisnis diversifikasi Perseroan serta
untuk memastikan agar Perseroan fokus pada pelaksanaan
kegiatan usaha yang berkelanjutan.

The establishment of a subsidiary company by Company's

Description of Material Information or On 4 September 2025, the Company, through PT Tripatra
Facts Engineering ("TPE") and PT Tripatra Multi Energi ("TIME"),
established new legal entity namely PT Tripatra Bioenergi
Angkasa ("TBA"), based on deed No. 33 dated 4 September
2025 made by Notary Jimmy Tanal, S.H., M.Kn Notary in
South Jakarta with Ministry of Law approval No. AHU-
0075833.AH.01.01.TAHUN 2025 dated 4 September 2025.
TBA will carry out business activities in the fields of Organic
Basic Chemical Industry Sourced from Agricultural Products
(KBLI 20115).
TPE and TIME are subsidiaries of the Company in which more
than 99% of the shares are owned, either directly or indirectly,
by the Company.
Details of the shareholding structure of TBA are as follows:
