The Company, as the holder of 96.556 of the shares, has received the circular resalution of the extraordinary shareholders of PT Indobaja Primamurni (IBPM), a subsidiary, on September 1, 2025. 3. | Ursian Informasi atau Fakta | Selain Keputusan mengenai persetujuan Laporan Keuangan IBPM untuk Tahun Buku Material / Description of | 2021 sampai dengan 2024, diputuskan juga hal sebagai berikut : Information or Material Fact 1. Melakukan penghentian operasi dalam segmen industri alat-alat pertanian. Alasan penghentian segmen operasi ini dikarenakan market bisnis dari alat pertanian ini mengalami penurunan permintaan pasar dan IBPM mengalami kerugian selama 5 tahun berturut-turut mulai tahun 2020-2024 (Laporan keuangan yang telah diaudit). Penghentian operasi ini tidak memberikan dampak signifikan bagi Perseroan dikarenakan pendapatan IBPM selama tahun 2024 sebesar Rp 9.368.155.672 hanya 0,3056 dari Pendapatan Konsolidasian tahun 2024 sebesar Rp 3.165.028.322.638. 2. Penjualan aset hanya pada kelompok mesin dan peralatan karena sudah tidak dapat digunakan lagi dalam operasional IBPM. 3. Perseroan akan menerima pendapatan dividen sebesar Rp 25.331.250.000 (96,596 bagian dari kepemilikan Perseroan) yang akan dibayarkan paling lambat pada tanggal 31 Oktober 2025. 4. Manajemen IBPM melakukan perubahan maksud dan tujuan kegiatan usaha yaitu sewa menyewa tanah dan bangunan non hunian (Real Estate yang Dimiliki Sendiri atau Disewa). The reason for the termination of this operating segment is due to the decline in market demand for agricultural eguipment and IBPM's losses for five consecutive years from 2020 to 2024 (based on audited financial statements). This termination does not have a significant impact on the Company, as IBPM's revenue in 2024 amounted to Rp 9,368,155,672, representing only 0.304 of the Company's consolidated revenue of Rp 3,165,028,322,638 in 2024. The sale of assets was limited to machinery and eguipment, as these were no longer usable in IBPM's aperations. The Company will receive dividend income amounting to IDR 25,331,250,000 (96.556 of the Company's ownership share), which will be paid no later than October 31, 2025. The management of IBPM has made changes to the company's business objectives and purposes, namely to engage in the leasing of land and non- residential buildings (Real Estate Owned or Leased).
