Uraian Informasi atau Fakta Material Pada tanggal 29 Agustus 2025, PT Kalimantan Aluminium
Industry (KAI) telah menerbitkan sebanyak 1.896.312 (satu
juta delapan ratus sembilan puluh enam ribu tiga ratus dua
belas) saham baru dengan total nominal sebesar Rp1.
896.312.000.000,- (satu triliun delapan ratus sembilan puluh
enam milyar tiga ratus dua belas juta Rupiah) (untuk
selanjutnya disebut sebagai Saham Baru).
Saham Baru tersebut telah diambil bagian oleh PT Cita
Mineral Investindo Tbk (Perseroan) sebanyak 237.039 (dua
ratus tiga puluh tujuh ribu tiga puluh sembilan) saham dengan
total nominal sebesar Rp237.039.000.000,- (dua ratus tiga
puluh tujuh milyar tiga puluh sembilan juta Rupiah) atau setara
dengan US$14.557.461,- (empat belas juta lima ratus lima
puluh tujuh ribu empat ratus enam puluh satu Dolar Amerika
Serikat), dimana pemegang saham lainnya telah turut
mengambil bagian sesuai dengan porsi kepemilikannya
masing-masing atas penerbitan Saham Baru tersebut,
sehingga komposisi pemegang saham KAI menjadi sebagai
berikut:

Transaksi yang dilakukan Perseroan ini merupakan bagian
dari rangkaian transaksi yang dilakukan dalam rangka
penambahan modal Perseroan pada KAI sepanjang tahun
2025, yang mana Perseroan telah melakukan penambahan
modal seluruhnya dengan total nominal sebesar Rp419.
250.000.000,- pada tahun berjalan. Jumlah tersebut mencakup
5,5% dari jumlah ekuitas Perseroan per 31 Desember 2024
yaitu Rp7.621.208.264.673,-.
Total nilai penambahan modal yang dilakukan oleh Perseroan
kepada KAI tersebut adalah sebesar US$14.557.461,- (empat
belas juta lima ratus lima puluh tujuh ribu empat ratus enam
puluh satu Dolar Amerika Serikat) atau setara dengan Rp237.
039.000.000,- (dua ratus tiga puluh tujuh milyar tiga puluh
sembilan juta Rupiah) dan keseluruhan transaksi dalam satu
rangkaian transaksi tersebut tidak melebihi batasan nilai
transaksi material sebagaimana dimaksud oleh POJK No.
17/POJK.04/2020 tentang Transaksi Material dan Perubahan
Kegiatan Usaha (POJK 17).
Tujuan transaksi : Sebagai salah satu langkah Perseroan
dalam rangka mendukung hilirisasi mineral logam, tujuan
dilakukannya transaksi tersebut adalah untuk mendukung
pengembangan proyek smelter aluminium milik KAI yang
berlokasi di kawasan industri Kalimantan Industrial Park
Indonesia, Kabupaten Bulungan, Kalimantan Utara, Indonesia.
Melalui smelter aluminium KAI, Perseroan berkontribusi
terhadap program hilirisasi dengan menciptakan nilai tambah
terhadap alumina serta menutupi kesenjangan antara suplai
dan permintaan aluminium.

Description of Material Information or On August 29, 2025, PT Kalimantan Aluminium Industry (KAI)
Facts has issued 1,896,312 (one million eight hundred ninety six
thousand three hundred twelve) new shares with a total
nominal value of Rp1,896,312,000,000.- (one trillion eight
hundred ninety six billion three hundred twelve million Rupiah)
(hereinafter will be referred to as New Shares).
The New Shares issued has been subscribed by PT Cita
Mineral Investindo Tbk (the Company) in the amount of
237,039 (two hundred thirty seven thousand thirty nine) shares
with a total nominal value of Rp237,039,000,000.- (two
hundred thirty seven billion thirty nine million Rupiah) or
equivalent to US$14,557,461.- (fourteen million five hundred
fifty seven thousand four hundred sixty one United States
Dollars), where the other shareholders have followed the rights
to take part in the issuance of the New Shares respectively,
therefore the shareholder structure of KAI thereafter became
as follows:

This transaction is part of a series of transactions undertaken
to increase the Company's capital at KAI throughout 2025. The
Company has increased its total capital with a total nominal
value of Rp419,250,000,000 in the current year. This amount
covers 5.5% of the Company's total equity as of December 31,
2024, which is Rp7,621,208,264,673.
The issuance of the New Shares was carried out by making an
injection by the Company to KAI with nominal value of
US$14,557,461.- (fourteen million five hundred fifty seven
thousand four hundred sixty one United States Dollars), or
equivalent to Rp237,039,000,000.- (two hundred thirty seven
billion thirty nine million Rupiah) and and the total transactions
in a series of transactions does not exceed the material
transaction threshold referred to in POJK No.17/POJK.04/2020
concerning Material Transactions and Changes in Business
Activities (POJK 17).
Purpose of transaction: As one of the Company's steps in
supporting the downstreaming of metal minerals, the purpose
of the transaction is to support the development of KAI's
aluminum smelter project located in the Kalimantan Industrial
Park Indonesia industrial area, Bulungan Regency, North
Kalimantan, Indonesia. Through the KAI aluminum smelter, the
Company contributes to the downstream program by creating
added value to alumina and closing the gap between
aluminum supply and demand.
