Sesuai dengan Hasil Keputusan Rapat Umum Pemegang
Saham Luar Biasa (RUPSLB) Perseroan pada tanggal 30
Januari 2025 sebagaimana tercatat dalam Akta Berita
Acara RUPSLB No. 3 tanggal 30 Januari 2025 jo. Akta
Pernyataan Keputusan Rapat No. 4 tanggal 30 Januari
2025 beserta Surat Keputusan Dewan Komisioner OJK No.
KEP-236/PL.02/2025 tanggal 22 Agustus 2025 yang
diterima Perseroan tanggal 27 Agustus 2025, maka
menyetujui pengangkatan Bpk. Francis Lay Sioe Ho
sebagai Presiden Komisaris Perseroan, menggantikan
Bpk. Kusmayanto Kadiman, dengan masa jabatan efektif
secepat-cepatnya 6 bulan sejak ditutupnya Rapat 30
Januari 2025 dan setelah diperolehnya persetujuan dari
Regulator terkait sampai dengan ditutupnya RUPS
Tahunan yang ke-3 (ketiga) berikutnya setelah tahun
2025. Masa jabatan Bpk. Kusmayanto Kadiman sebagai
Presiden Komisaris berakhir setelah Bpk. Francis Lay Sioe
Ho efektif menjabat sebagai Presiden Komisaris. /

On August 27, 2025, the Company received the OJK Board
of Commissioners Decree No. KEP-236/PL.02/2025 dated
August 22, 2025, concerning the Results of the Fit and
Proper Assessment of Mr. Francis Lay Sioe Ho as a
Candidate for President Commissioner of PT BFI Finance
Indonesia Tbk. Among others, stated that Mr. Francis Lay
Sioe Ho has been approved to become President
Commissioner of PT BFI Finance Indonesia Tbk effective
from the date of appointment.

In accordance with the Resolutions of the Company's
Extraordinary General Meeting of Shareholders (EGMS)
on January 30, 2025, as recorded in the Deed of Minutes
of the EGMS No. 3 dated January 30, 2025, in conjunction
with the Deed of Meeting Resolution Statement No. 4
dated January 30, 2025, along with the OJK Board of
Commissioners Decree No. KEP-236/PL.02/2025 dated
August 22, 2025, received by the Company on August 27,
2025, approve the appointment of Mr. Francis Lay Sioe Ho
as President Commissioner of the Company, replacing
Mr. Kusmayanto Kadiman, with an effective term of office
of at least 6 (six) months from the closing of Meeting
January 30, 2025 and after obtaining Approval from the
relevant Regulator until the closing of the next 3'4 (third)
AGMS after 2025. The term of office of Mr. Kusmayanto
Kadiman as President Commissioner will end after
Mr. Francis Lay Sioe Ho effectively serves as President
Commissioner.

a. Dengan disetujuinya Bpk. Francis Lay Sioe Ho sebagai
Presiden Komisaris Perseroan, maka Perseroan wajib
melakukan penyesuaian dokumen Perseroan yang
diperlukan terkait persetujuan Bpk. Francis Lay Sioe
Ho.

b. Bpk. Francis Lay Sioe Ho telah sah dan dapat bertindak
untuk dan atas nama Perseroan baik di dalam maupun
di luar pengadilan sebagaimana diatur dalam
Anggaran Dasar Perseroan. /

a. With the approval of Mr. Francis Lay Sioe Ho as
President Commissioner of the Company, the Company
shall make the necessary adjustments to the
Company's documents related to the approval of Mr.
Francis Lay Sioe Ho.

b. Mr. Francis Lay Sioe Ho is authorized and able to act
for and on behalf of the Company both inside and
outside the court as stipulated in the Company's
Articles of Association.
