Untuk memenuhi ketentuan (i) Peraturan Otoritas Jasa Keuangan (“OJK”) No. 31/POJK.04/2015
tentang Keterbukaan atas Informasi atau Fakta Material oleh Emiten atau Perusahaan Publik (“POJK
31”), (ii) Keputusan Direksi BEI No. Kep-00015/BEI/01-2021, Perubahan Peraturan No. I-E tentang
Kewajiban Penyampaian Informasi, (iii) Peraturan OJK No. 17/POJK.04/2020 tentang Transaksi
Material Dan Perubahan Kegiatan Usaha (“POJK 17”) dan (iv) Peraturan OJK No. 42 Tahun 2020
tentang Transaksi Afiliasi dan Transaksi Benturan Kepentingan (“POJK 42”), dengan ini kami, PT Solusi
Tunas Pratama Tbk (“Perseroan”), menyampaikan Keterbukaan Informasi atas Transaksi Material
sebagai berikut:
To comply with the (i) OJK Regulation No. 31/POJK.04/2015 on Disclosure of Material Information or
Facts by Issuers or Public Companies (“POJK 31”), (ii) the IDX Board of Directors Decree No. Kep-
00015/BEI/01-2021, Amendment to Regulation No. I-E on Obligation to Submit Information, (iii)
Financial Services Authority Rule No. 17/POJK.04/2020 Concerning Material Transactions And
Alteration Of Business Activities (“POJK 17”) and (iv) Financial Services Authority Rule
No.42/POJK.04/2020 concerning Affiliated Transactions and Conflict of Interest (“POJK 42”), we, PT
Solusi Tunas Pratama Tbk (the “Company”), hereby submit a Disclosure on Material Transaction as

Agsutus 2023 sebesar Rp1.500.000.000.000,00
(“Perjanjian Kredit Mandiri” atau “Transaksi”)
sehubungan dengan perpanjangan jangka waktu
fasilitas kredit menjadi sampai dengan 27 Agustus 2026.
/ On August 27, 2025, Mandiri as the lender, together
with Protelindo and Iforte as the borrowers and the
Company as the guarantor, executed Addendum III (the
Credit Agreement) to the Credit Agreement Deed No.
WCO.KP/1244/KJP/2023, Deed No. 12 dated August
28, 2023 in the amount of Rp1,500,000,000,000.00 (the
“Mandiri Credit Agreement” or the “Transaction”) in
connection with the extension of the credit facility period
until August 27, 2026.
4 Penjelasan, Pertimbangan dan Struktur pemberian pinjaman dengan konsep pemberian
Alasan dilakukannya Transaksi pertanggungan oleh Perseroan akan memungkinkan
Material/ Protelindo dan Iforte memperoleh pembiayaan dengan

Protelindo dan Iforte yang mana secara konsolidasi juga
akan berdampak positif bagi Perseroan. / The corporate
guarantee cannot be achieved if The Company are not
an affiliated party. The facility is expected to support
Protelindo’s and Iforte’s business activities which on a
consolidated basis will also have a positive impact on the
Company.

yang 99,99% sahamnya dimiliki Protelindo/ Iforte, is
a subsidiary of Protelindo whose 99.99% shares
owned by Protelindo.
d. Mandiri, merupakan lembaga perbankan pemberi
pinjaman yang tidak mempunya hubungan afiliasi
dengan Perseroan/ Mandiri, is a bank which is non-
affiliated party of the Company.

7. Keterangan lain-lain/ 1. Transaksi di atas merupakan transaksi material
Other information sebagaimana dimaksud dalam POJK 17, dengan
mengingat bahwa nilai Transaksi yaitu mencapai
lebih dari 20% dari ekuitas Perseroan berdasarkan
Laporan Keuangan Perseroan yang diaudit per
tanggal 31 Desember 2024. Transaksi merupakan
transaksi material yang dikecualikan sebagaimana
dimaksud dalam Pasal 11 huruf (a) dan (b) POJK
17/ The Transaction is a material transaction as
referred to in POJK 17, i.e., the value of the
Transaction is more than 20% of the Company's
equity, based on the Company's audited Financial
Statement as of December 31, 2024. The
Transaction is a material transaction that is
exempted as referred to in Article 11 letter (a) dan
(b) of POJK 17.
2. Transaksi diatas merupakan transaksi afiliasi
sebagaimana dimaksud dalam: / The Transaction is
an affiliated transaction as referred to:
(i) Pasal 6 ayat (1) huruf b angka 2 Peraturan OJK
No. 42 Tahun 2020 tentang Transaksi Afiliasi
dan Transaksi Benturan Kepentingan (“POJK
42”), yaitu transaksi sesama Perusahaan
Terkendali yang sahamnya dimiliki paling

sedikit 99% (sembilan puluh sembilan persen)
oleh Perusahaan Terbuka; dan / in Clause 6
section (1) letter b point (2) of OJK Regulation
No. 42 of 2020 regarding the Affiliated
Transaction and Conflict of Interest
Transaction (“POJK 42”), i.e. a transaction
between the subsidiaries whose at least 99%
(ninety nine percent) of their shares are owned
by the Public Company;
(ii) Pasal 6 ayat (1) huruf (d) POJK 42, yaitu
transaksi pinjaman yang diterima secara
langsung dari bank; / Clause 6 section (1) letter
(d) of POJK 42, i.e. a loan received directly
from bank; and
(iii) Pasal 6 ayat (1) huruf (e) POJK 42, yaitu
transaksi pemberian jaminan kepada bank
atas pinjaman yang diterima secara langsung
oleh Perusahaan Terbuka atau Perusahaan
Terkendali / Clause 6 section (1) letter (e)
POJK 42, i.e. a security provided to bank in
relation to the loan agreement granted to a
public company or subsidiaries.
3. Transaksi tersebut di atas bukan merupakan
transaksi benturan kepentingan bagi Perseroan
sebagaimana diatur dalam POJK 42 / The
Transaction is not a conflict-of-interest transaction of
the Company as referred to OJK Rule 42
Dewan Komisaris dan Direksi Perseroan dengan ini menyatakan bahwa / The Board of Commissioners
and Directors of the Company hereby declares that:
1. Transaksi bukan merupakan transaksi benturan kepentingan bagi Perseroan sebagaimana
diatur dalam POJK 42/ The Transaction is not a conflict-of-interest transaction of the Company
as referred to POJK 42.
2. Keterbukaan Informasi ini telah memuat seluruh informasi material yang benar dan tidak
menyesatkan/ This Disclosure contains material information which is true and not misleading.
Sesuai dengan Pasal 8 pada POJK 31, keterbukaan informasi ini juga merupakan pemenuhan ketentuan
dalam POJK 31 / According to Article 8 of POJK 31, this Disclosure is also made to comply with provision
under POJK 31.
