Regulation No. I-£ on Obligation to Information Disclosure.
Dengan ini kami informasikan bahwa PT Gunanusa Eramandiri Tbk ("Perseroan”) akan menandatangani Perjanjian
Fasilitas Kredit dengan PT Bank CTBC Indonesia, sehubungan dengan pemberian fasilitas Kredit Investasi sebesar
Rp164.845.000.000 dengan tenor maksimal 8 tahun dan Kredit Modal Kerja omnibus line sebesar US$3.000.000
dengan tenor maksimal 180 hari./We hereby inform you that PT Gunanusa Eramandiri Tbk ("the Company”) will
sign Credit Facility Agreement with PT Bank CTBC Indonesia, in connection with the provision of Investment Credit
Facility of Rp164,845,000.000 with a maximum tenor of 8 years and Working Capital Loan as omnibus line of
US$3,000,000 with a maximum tenor of 180 days.
Transaksi ini bukan merupakan transaksi afiliasi maupun benturan kepentingan sebagaimana dimaksud dalam
Peraturan Otoritas Jasa Keuangan NO. 42/POJK.04/2020 tentang Transaksi Afiliasi dan Transakti Benturan

Oleh sebab itu, Perseroan tidak wajib mengunakan Penilai dan memperoleh persetujuan Rapat Umum Pemegang Saham (RUPS) sebagaimana dimaksud dalam Pasal 11 POJK No. 17 karena merupakan transaksi pinjaman yang diterima dari bank. The signing of this Facility Agreement is a Material Transaction as referred to in POJK No. 17, where the loan value exceeds 205 of the Companys eguity based on the Audited Financial Statements as of December 31, 2024, audited by KAP Amir Abadi Jusuf, Aryanto, Mawar & Rekan.
