3 Uraian Informasi atau 1. Pada tanggal 22 Juli 2026, DAM dan Perseroan telah menandatangani
Fakta Material / Akta Jual Beli Saham tanggal 22 Juli 2026 ("Akta Jual Beli Saham"),
dalam rangka pembelian oleh DAM atas 19.500.000 (sembilan belas juta

On July 22, 2026, DAM and the Company entered into a Deed of Sale and
Purchase of Shares dated July 22, 2026 (“SPA”), in relation to DAM's
purchase of 19,500,000 (nineteen million five hundred thousand) shares
in BRI MI owned by the Company. Such number of shares is equivalent to
65% (sixty-five percent) of the total issued and paid-up capital of BRI MI
("Transaction").
2. Penandatanganan Akta Jual Beli Saham tersebut dilakukan sebagai
pelaksanaan penyelesaian transaksi penjualan saham sebagaimana
diatur dalam Perjanjian Jual Beli Bersyarat tertanggal 1 April 2026 antara
Perseroan sebagai penjual dan DAM sebagai pembeli (“PPJB”).

completion of the share sale transaction as contemplated under the
Conditional Sale and Purchase Agreement dated 1 April 2026 between
the Company as the seller and DAM as purchaser (“CSPA”) .
3. Dengan ditandatanganinya Akta Jual Beli Saham tersebut, kepemilikan
atas 19.500.000 (sembilan belas juta lma ratus ribu) saham BRI MI atau
setara dengan 65% (enam puluh lima persen) saham BRI MI yang
sebelumnya dimiliki oleh Perseroan telah beralih seluruhnya kepada
DAM.
Upon the execution of the SPA, ownership of 19,500,000 (nineteen
million five hundred thousand) shares in BRI MI, representing 65% (sixty-
five percent) of the shares in BRI MI, which were previously owned by
the Company, has been fully transferred to DAM.
4. Perseroan dan DAM memiliki hubungan afiliasi sebagaimana dimaksud
dalam Peraturan Otoritas Jasa Keuangan No. 42/POJK.04/2020 tentang
Transaksi Afiliasi dan Transaksi Benturan Kepentingan (" POJK
42/2020"). Sehubungan dengan transaksi ini, Perseroan sebelumnya
telah melakukan Keterbukaan Informasi berdasarkan POJK 42/2020 pada
tanggal 2 April 2026. Transaksi ini merupakan bagian dari upaya DAM
s e l a k u holding operasional untuk menciptakan perusahaan aset
manajemen yang berdaya saing kuat dan diharapkan dapat
mengingkatkan potensi sinergi bisnis dan melengkapi kapabilitas yang
ada.
