Referring to the Financial Services Authority Regulation No. 31/POJK.04/2015 concerning
Disclosure of Material Information or Facts by Issuers or Public Companies, as partially
amended by the Financial Services Authority Regulation No. 45 of 2024 concerning the
Development and Strengthening of Issuers and Public Companies, we hereby submit the

Penandatanganan Akta No. 43 tertanggal 18 Juli
2025 antara Perseroan dan Yayasan Intan Eduka
(“YIE”) yang diwakili oleh Pengurus Yayasan saat
ini (yaitu Stepanus Budiyono dan Selvy Herniati
Permatasari, yang secara bersama-sama disebut
sebagai “Pengurus”) sehubungan dengan sewa
menyewa lahan untuk kepentingan bangun
guna serah (“Perjanjian”). Perjanjian ini
dikategorikan sebagai Kontrak Penting antara
Perseroan dan YIE.
The signing of Deed No. 43 dated July 18, 2025,
between the Company and Yayasan Intan Eduka
(“YIE”), represented by the current Foundation
Management (namely Stepanus Budiyono and
Selvy Herniati Permatasari, hereinafter
collectively referred to as the “Management”), in
relation to the lease of land for the purpose of
build-operate-transfer (“Agreement”). This
Agreement is categorized as a Material Contract
between the Company and YIE.
3. Uraian Informasi atau Fakta Dalam perjanjian tersebut, Perseroan
Material / Description of material menyewakan lahan dengan luas 3.250m2 (tiga
information or fact ribu dua ratus lima puluh meter persegi) yang
berlokasi di Desa Dalung, Kecamatan Kuta Utara,
Kabupaten Badung, Provinsi Bali (“Lahan”), serta
memberikan hak kepada YIE, sebagai penyewa
untuk melakukan pembangunan gedung di atas
Lahan sebagai sarana kegiatan pendidikan.

Under the agreement, the Company leases a plot
of land measuring 3,250 square meters (three
thousand two hundred fifty square meters),
located in Dalung Village, North Kuta District,
Badung Regency, Bali Province (“Land”), and
grants YIE, as the lessee, the right to construct a
building on the Land to be used as a facility for
educational activities.
YIE akan melakukan pengelolaan terhadap
Lahan dan bangunan gedung di atasnya selama
jangka waktu perjanjian, yaitu 20 (dua puluh)
tahun. Adapun nilai kompensasi sewa lahan
adalah sebesar Rp86.965.140.000,00 (delapan
puluh enam miliar sembilan ratus enam puluh
lima juta seratus empat puluh ribu Rupiah).
YIE will manage the land and the building
situated thereon for the duration of the
agreement, which is twenty (20) years. The
agreed land lease compensation amounts to IDR
86,965,140,000 (eighty-six billion nine hundred
sixty-five million one hundred forty thousand
Rupiah).
Pada akhir periode sewa, YIE akan menyerahkan
kembali Lahan dan bangunan gedung kepada
Perseroan.
Upon expiration of the lease term, YIE shall hand
over the Land and building back to the Company.
4. Dampak kejadian, informasi atau Memberikan dampak positif terhadap
fakta material tersebut terhadap kelangsungan usaha Perseroan serta
kegiatan operasional, hukum, meningkatkan kinerja keuangan dan operasional
kondisi keuangan, atau Perseroan.
